Permanent Global Note definition

Permanent Global Note means a Global Note representing Bearer Notes of one or more Tranches of the same Series, either on issue or upon exchange of a temporary Global Note, or part of it, and which shall be substantially in the form set out in Part B or Part D of Schedule 1, as the case may be;

Permanent Global Note shall have the meaning given such term in Section 3.04(b).

Permanent Global Note means a global note in the form or substantially in the form set out in Part 2 of Schedule 6 together with the copy of the applicable Final Terms attached to it with such modifications (if any) as may be agreed between the Issuer, the Agent and the relevant Dealer, comprising some or all of the Notes of the same Series issued by the Issuer under the Programme Agreement or any other agreement between the Issuer and the relevant Dealer;

Examples of Permanent Global Note in a sentence

• The Replacement Agent shall cancel each mutilated or defaced Temporary Global Note, Permanent Global Note or Definitive Note, surrendered to it and in respect of which a replacement has been delivered.

• A Master Temporary Global Note or Master Permanent Global Note may be used provided that the person(s) whose signature(s) appear thereon were/was an authorised signatory/ies at the date of signing such Master Temporary Global Note or Master Permanent Global Note notwithstanding that any such person may, for any reason (including death), have ceased to be such authorised signatory at the time of the creation and issue of the relevant Tranche or the issue and delivery of the relevant Note.

• The provisions of the “Operating Procedures of the Euroclear System” and “Terms and Conditions Governing Use of Euroclear” and the “General Terms and Conditions of Clearstream Banking” and “Customer Handbook” of Clearstream shall be applicable to transfers of beneficial interests in the Regulation S Temporary Global Note and the Regulation S Permanent Global Note that are held by Participants through Euroclear or Clearstream.

• Each Master Temporary Global Note and Master Permanent Global Note, if any, will be signed manually by or on behalf of the relevant Issuer.

• If at any time and for any reason a Paying Agent makes a partial payment in respect of any Temporary Global Note, Permanent Global Note or Definitive Note, presented or surrendered for payment to or to the order of that Paying Agent, such Paying Agent shall endorse thereon a statement indicating the amount and date of such payment.

More Definitions of Permanent Global Note

Permanent Global Note means a Permanent Global Note substantially in the form set out in Schedule 8 (Form of Permanent Global Note) to the Programme Manual;

Permanent Global Note means a Global Note representing Bearer Notes of one or more Tranches of the same Series, or of a Class thereof, either on issue or upon exchange of a Temporary Global Note, or part of it, and which shall be substantially in the form set out in Part B or Part D of Schedule 1, as the case may be;

Permanent Global Note is defined in Section 205.

Permanent Global Note means a Permanent Global Note substantially in the form set out in Schedule 2 Part B (Form of Permanent Global Note) to the Trust Deed;

Permanent Global Note is defined in Section 2.05.

Permanent Global Note the Permanent Global Note is delivered or the principal amount of Notes represented thereby is increased in accordance with its terms in exchange for a further portion of this Temporary Global Note; or

Permanent Global Note the Permanent Global Note has not been delivered or the principal amount thereof increased in accordance with paragraph 5 (Delivery of Permanent Global Note or Definitive Notes) above by 5.00 p.m. (London time) on the seventh day after the bearer has requested exchange of an interest in this Temporary Global Note for an interest in a Permanent Global Note; or
