NO WARRANTIES BY LESSOR. LESSOR LEASES THE EQUIPMENT AS-IS, WHERE-IS, AND WITH ALL FAULTS. LESSOR MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, OF ANY KIND AS TO THE EQUIPMENT INCLUDING, WITHOUT LIMITATION: ITS MERCHANTABILITY; ITS FITNESS FOR ANY PARTICULAR PURPOSE; ITS DESIGN, CONDITION, QUALITY, CAPACITY, DURABILITY, CAPABILITY, SUITABILITY OR WORKMANSHIP; ITS NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY PATENT, TRADEMARK, COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHT; OR ITS COMPLIANCE WITH ANY LAW, RULE, SPECIFICATION, PURCHASE ORDER OR CONTRACT PERTAINING THERETO. Lessor hereby assigns to Lessee the benefit of any assignable manufacturer's or supplier's warranties, but Lessor, at Lessee's written request, will cooperate with Lessee in pursuing any remedies Lessee may have under such warranties. Any action taken with regard to warranty claims against any manufacturer or supplier by Lessee will be at Lessee's sole expense. LESSOR MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND AS TO THE FINANCIAL CONDITION OR FINANCIAL STATEMENTS OF ANY PARTY OR AS TO THE TAX OR ACCOUNTING TREATMENT OR CONSEQUENCES OF THE LEASE, THE EQUIPMENT OR THE RENTAL PAYMENTS.
NO WARRANTIES BY LESSOR. Lessor makes no representation or warranty, expressed or implied as to the collateral/equipment and as to any accounting practices related to depreciation and other any tax handling or financial statement accounting of and for the collateral/equipment as described in the Lease Agreement.
NO WARRANTIES BY LESSOR. Lessor makes no warranty, expressed or implied, to anyone as to the fitness, merchantability, design, condition, capacity, performance, or any other aspect of the equipment or its components, and its workmanship. Lessor further disclaims any liability for loss, damage, or injury to Lessee or third parties as a result of any defects, latent, or otherwise, in the equipment, whether arising out of Lessor’s negligence or application of the laws of strict liability. As to Lessor, Lessee leases equipment “as is”. CARE, USE, AND LOCATION: Other than normal maintenance, the Lessee, at its own cost and expense, shall maintain and keep the equipment in good repair, condition and working order, shall use the equipment lawfully and shall not alter the equipment without Lessor’s prior written consent.   • Contract of Sale means a contract for the sale of an object by a seller to a buyer which is not an agreement as defined in (a) above;

  • Other Warrants means any other warrants issued by the Company in connection with the transaction with respect to which this Warrant was issued, and any warrant issued upon transfer or partial exercise of or in lieu of this Warrant. The term “Warrant” as used herein shall be deemed to include Other Warrants unless the context clearly requires otherwise.

  • Conditions of Use means these terms and conditions as may be varied by us from time to time.

  • Waiver or variance means action by the board which suspends in whole or in part the requirements or provisions of a rule as applied to an identified person on the basis of the particular circumstances of that person. For simplicity, the term “waiver” shall include both a “waiver” and a “variance.”
