Nonvoting Members definition

Nonvoting Members means the Members holding Nonvoting Common Units.
Nonvoting Members means the Persons (as that term is ----------------- defined below) who are issued or are otherwise holding Nonvoting Units (as that term is defined below), and "NONVOTING MEMBER" shall mean any one of ---------------- them.

Examples of Nonvoting Members in a sentence

  • There shall be two (2) classes of Membership: (1) Voting Members; and (2) Non-voting Members.

  • Nonvoting Members may include but not limited to members representative of Boys and Girls Club, Child Development Center, Youth Program, and where necessary, an attorney or other legal representative.

  • Nonvoting Members: All faculty holding decanal titles and departmental chairs shall be ex-officio, non-voting members.

  • Election of President, Sr. Vice President and Vice President shall be by votes from all the categories of members [except Nonvoting Members] of The Chamber.

  • However, no amendments / additions / deletions or any type of changes in the Constitution and Regulations can be transacted in any General Meeting where less than representatives present in terms of individual persons, irrespective of more than one vote that a representative may have (excluding Non-voting Members) are equal to the number of 5% of the Members of the Chamber (rounded off to the nearest integer).

  • Non-voting Members are welcome to attend such meetings but shall not count towards a quorum.

  • Voting Members has the meaning set forth in Section 4.07(b).

  • Voting Member means a Member holding one or more Voting Shares.

  • Non-Voting Member means a member of a Committee or Sub- Committee of the Council who is not a member of the Council and is not entitled to vote on any matter coming before that Committee or Sub- Committee;

  • Preferred Member means a Member holding Preferred Units.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Class A Members means those Members who have purchased Class A Interests.

  • Class B Members means the Members holding Class B Units.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Preferred Shareholders means the holders of Preferred Shares.

  • Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.

  • Majority in Interest of the Limited Partners means Limited Partners holding in the aggregate Percentage Interests that are greater than fifty percent (50%) of the aggregate Percentage Interests of all Limited Partners.

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Limited Partners means all such Persons.

  • Preferred Proponent(s means the Proponent(s) selected by the Evaluation Team to enter into negotiations for a Contract;

  • Preferred Proponent means the Proponent that is invited into negotiations in accordance with the evaluation process set out in this RFP;

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Other Members has the meaning specified in the recitals to this Agreement.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Founding Member means any individual who is either:

  • Disinterested Board Members means those members of the Board of a Fund that are not deemed to be "interested persons" of the Fund, as defined by the Act.

  • Preferred ’ means any of the above securities that are publicly traded on a recognized securities exchange and the securities have a rating of ‘‘A’’ or above. If the securities are not ‘‘Preferred,’’ they are listed as ‘‘Other.’’

  • Majority Stockholders means any Stockholder or combination of Stockholders who at the date of this Agreement own shares of Company Common Stock representing more than two-thirds of the total number of shares of Company Common Stock outstanding at the date of this Agreement.

  • Class B Limited Partner means any Person executing (by power of attorney or otherwise) this Agreement as of the date hereof as a Class B Limited Partner or hereafter admitted to the Partnership as a Class B Limited Partner as herein provided, but shall not include any Person who has ceased to be a Class B Limited Partner in the Partnership.

  • Preferred Holders means the record owners of outstanding Preferred Securities.
