Nonwithholding foreign partnership definition

Nonwithholding foreign partnership or “NWP” has the meaning set forth in §1.1471-1(b)(86).
Nonwithholding foreign partnership or “NWP” means a foreign partnership other than a withholding foreign partnership.
Nonwithholding foreign partnership. (or “NFP”) means a foreign partnership that is not a Foreign Withholding Partnership.

Notwithstanding the submission of a Withholding Certificate claiming a reduced rate of or exemption from U.S. withholding tax, the Agent shall be entitled to withhold United States federal income taxes at the full 30% withholding rate if in its reasonable judgment it is required to do so under the due diligence requirements imposed upon a withholding agent under § 1.1441-7(b) of the Regulations. Further, the Agent is indemnified under § 1.1461-1(e) of the Regulations against any claims and demands of any Lender or assignee or participant of a Lender for the amount of any tax it deducts and withholds in accordance with regulations under § 1441 of the Internal Revenue Code.
