Norbord Meeting definition

Norbord Meeting means the special meeting of Norbord Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of this Agreement, to be called and held in accordance with the Interim Order to consider the Arrangement Resolution and for any other purpose as may be set out in the Norbord Circular;

Examples of Norbord Meeting in a sentence

  • If such notice has been delivered prior to the making of the application for the Final Order, the Norbord Meeting (with respect to a notice delivered by West Fraser) or the West Fraser Meeting (with respect to a notice delivered by Norbord), such application and/or meetings shall be postponed, if and to the extent necessary, until the expiry of such period.

  • Norbord shall instruct Norbord’s transfer agent to report to Xxxx Xxxxxx and its designated Representatives on a daily basis on each of the last ten (10) Business Days prior to the Norbord Meeting as to the aggregate tally of the proxies received by Norbord in respect of the Arrangement Resolution.

  • Norbord will use commercially reasonable efforts to schedule the Norbord Meeting on the same day as, and immediately prior to, the Xxxx Xxxxxx Meeting.

  • If a West Fraser Matching Period would not terminate before the date fixed for the Norbord Meeting, Norbord shall adjourn or postpone the Norbord Meeting to a date that is at least five Business Days after the expiration of the applicable West Fraser Matching Period.

  • A Norbord Shareholder wishing to utilize the Holdco Alternative must notify West Fraser or the Depositary in writing of its intention to participate in the Holdco Alternative no later than 5:00 p.m. (Toronto time) on the date that is 10 days prior to the date of the Norbord Meeting (expected to be January 9, 2021 based on a January 19, 2021 Norbord Meeting date) and duly complete the letter of transmittal to be provided by the Depositary.

Related to Norbord Meeting

  • Board Meeting means a meeting of the Board;

  • Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;

  • Meeting means any meeting of:

  • meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;

  • hybrid meeting means a general meeting convened for the (i) physical attendance by shareholders and/or proxies at the Principal Meeting Place and where applicable, one or more Meeting Locations and (ii) virtual attendance and participation by shareholders and/or proxies by means of electronic facilities;

  • Open meeting or "public meeting" means a meeting at which the public may be present.

  • relevant meeting means a meeting of the authority to consider whether or not to approve a proposal to dismiss a relevant officer; and

  • Ordinary meeting means a meeting held by determination of the Board (SER r.115(1)).

  • General Meeting means the annual or any special general meeting of the Association.

  • special meeting of shareholders means a meeting of any particular class or classes of shareholders and a meeting of all shareholders entitled to vote at any annual meeting of shareholders at which special business is to be transacted.

  • Special Meeting shall have the meaning set forth in Section 23(c)(i) hereof.

  • Meeting of Members means an annual meeting of members or a special meeting of members;

  • Public meeting means a meeting that is required to be open to the public under Title 52, Chapter 4, Open and Public Meetings Act.

  • Virtual Meeting means any general meeting of the Shareholders (or any meeting of the holders of any Class of Shares) at which the Shareholders (and any other permitted participants of such meeting, including without limitation the chairman of the meeting and any Directors) are permitted to attend and participate solely by means of Communication Facilities.

  • Company Meeting means the special meeting of Company Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of the Arrangement Agreement, to be called and held in accordance with the Interim Order to consider the Arrangement Resolution.

  • Committee Meeting means a meeting of the Committee.

  • Inaugural Meeting means the first meeting of Council held after a municipal election in a regular election year;

  • Pre-bid Meeting means Pre-bid meeting to be held as per the schedule indicated in the Schedule for the Tender hereof;

  • Meetings means the meetings of Affected Unsecured Creditors in the Unsecured Creditor Classes in respect of each Participating CCAA Party called for the purposes of considering and voting in respect of the Plan, which has been set by the Amended and Restated Meetings Order to take place at the times, dates and locations as set out in the Amended and Restated Meetings Order;

  • physical meeting means a general meeting held and conducted by physical attendance and participation by shareholders and/or proxies at the Principal Meeting Place and/or where applicable, one or more Meeting Locations;

  • Shareholders Meeting has the meaning provided in Section 6.3.

  • Closed Meeting means a meeting from which the public is excluded.

  • Convener ’ means a person who impar- tially assists an agency in determining wheth- er establishment of a negotiated rulemaking committee is feasible and appropriate in a par- ticular rulemaking;

  • Scoping meeting means a meeting between representatives of the applicant and the EDU conducted for but not limited to the following purposes:

  • Kick Off Meeting means a meeting convened by the Purchaser to discuss and finalize the work execution plan and procedures with the ITC.

  • Scheme Meeting means such meeting(s) (and any adjournment or postponement thereof) convened with the permission of the Court pursuant to section 896 of the Companies Act for the purpose of considering and, if thought fit, approving (with or without modification) the Scheme of Arrangement.
