Nordic Capital definition

Nordic Capital means Nordic Capital CV1 Alpha, L.P. and Nordic Capital CV1 Beta, L.P. (each acting by their general partner or delegated portfolio manager) and/or one or more other funds, special purpose vehicles, trusts, partnerships and/or other entities (including, in each case, any continuation fund or successor of any such entity) which are directly or indirectly owned, managed, sponsored, controlled and/or advised by (i) Nordic Capital CV1 Limited and/or (ii) any other ‘Nordic Capital’ entity acting in a similar capacity (each of (i) and (ii) being an “NC Entity”) and/or (iii) any affiliate, direct or indirect subsidiary, subsidiary undertaking or holding company, partner, member or trustee of an NC Entity.

Nordic Capital shall have the meaning ascribed to it in the introduction hereof.

Nordic Capital means Nordic Capital Epsilon SCA, SICAV-RAIF (acting in respect of its Compartment 1) (“Fund X”), a fund established and registered in Luxembourg, with its registered office at 8, rue Lou Hemmer L - 1748 Senningerberg, Luxembourg. Its overall management is vested in, and it acts through, its general partner, Nordic Capital Epsilon GP SARL (a company established in Luxembourg).

Nordic Capital refers to all or any of the following: (a) Nordic Capital Fund I, Nordic Capital Fund II, Nordic Capital Fund III, Nordic Capital Fund IV, Nordic Capital Fund V, Nordic Capital Fund VI, Nordic Capital Fund VII, Nordic Capital CV1, Nordic Capital Fund VIII, Nordic Capital Fund IX, Nordic Capital Fund X, Nordic Capital Epsilon SCA, SICAV-RAIF (the "Products"); (b) the general partners of the Products; (c) non-discretionary investment advisors being Nordic Capital Investment Advisory AB, Nordic Capital Investment Advisory AS, Nordic Capital Investment Advisory A/S, Nordic Capital Investment Advisory GmbH, Nordic Capital Investment Advisory Oy, Nordic Capital Investment Advisory LLP, and Nordic Capital Investment Advisory LLC; (d) Nordic Capital Limited; and (e) the affiliated entities of each of the above (as applicable in the context). However, this does not imply from a legal, regulatory or tax perspective, nor should it be inferred, that the entities in this definition are not separate and distinct entities, nor that there is any single Nordic Capital entity;

Nordic Capital means Nordic Capital VIII Limited, acting in its capacity as General Partner of each of Nordic Capital VIII Alpha, L.P. and Nordic Capital VIII Beta, L.P. together with any other fund managed by the same advisory company and/or any of their respective Affiliates.
