Norwegian Notes definition

Norwegian Notes means unsubordinated Notes issued in uncertificated and dematerialised book-entry form in accordance with the Norwegian Act of March 15, 2019 no. 6 (as amended or replaced from time to time, the "CSD Act") (Nw. verdipapirsentralloven);
Norwegian Notes means any Notes which are specified to be Norwegian Securities in the relevant Pricing Supplement.

Examples of Norwegian Notes in a sentence

  • Title to Norwegian Notes shall pass by registration in the Norwegian Securities Register.

  • No Global Notes or Definitive Notes or Certificates will be issued in respect of Norwegian Notes and the provisions relating to presentation, surrender or replacement of such bearer instruments shall not apply.If specified in the Applicable Transaction Terms, any Temporary Global Note, Permanent Global Note or Registered Global Note issued from time to time by Premium Green PLC or PREMIUM Plus p.l.c. may be intended to be held in a manner which will allow Eurosystem eligibility.

  • Each Norwegian Notes Guarantor agrees that such Guarantor shall have no right of subrogation, indemnity, reimbursement or contribution against the Norwegian Issuer or any other Norwegian Notes Guarantor for amounts paid under this Article IV until such time as the Norwegian Notes Obligations (other than contingent indemnification obligations for which no claim has been asserted) have been paid in full.

  • The notice to Holders shall specify the Norwegian Notes or the amount of Norwegian Notes to be redeemed or in respect of which such option has been exercised, and the procedures for partial redemptions laid down in the VPS Rules shall be observed.

  • In respect of Norwegian Notes, the Holder must register in the relevant VPS account a transfer restriction in favour of the Norwegian Programme Agent and deliver to the Norwegian Programme Agent a duly completed Put Option Exercise Notice within the notice period.

  • In respect of redemption of Norwegian Notes, the notice shall also specify the Closed Periods for the purposes of General Condition 2.1(g) (Closed Periods in respect of Danish Notes, Norwegian Securities, Swedish Securities and Finnish Securities).

  • Such Notes shall only be issued against surrender of the existing Norwegian Notes in accordance with the VPS Rules.

Norwegian Notes means any Notes which are specified to be Norwegian Securities in the relevant Final Terms.
Norwegian Notes means the Notes of Norwegian Borrower evidencing the Norwegian Loans denominated in Dollars, in the form of Exhibit E hereto.

Related to Norwegian Notes

  • Loan Notes means the promissory notes evidencing the Loans in the aggregate original principal amount of Two Hundred Million Dollars ($200,000,000) executed by Borrower in favor of Lenders, as they may be amended, supplemented, replaced or modified from time to time. The Loan Notes and any replacements thereof shall be substantially in the form of Exhibit C.

  • Fundserv Notes means Notes purchased through Fundserv.

  • Term Loan Notes means the promissory notes of the Borrower (if any) in favor of any of the Term Loan Lenders evidencing the portion of the Term Loan provided by any such Term Loan Lender pursuant to Section 2.2(a), individually or collectively, as appropriate, as such promissory notes may be amended, modified, extended, restated, replaced, or supplemented from time to time.

  • High Yield Securities means debt Securities and Preferred Stock, in each case (a) issued by public or private issuers, (b) issued pursuant to an effective registration statement or pursuant to Rule 144A under the Securities Act (or any successor provision thereunder) or other exemption to the Securities Act and (c) that are not Cash Equivalents, Mezzanine Investments or Bank Loans.

  • Principal Finance Documents means the Credit Agreement, the Senior Secured Note Indenture, the Intercreditor Arrangements and any Additional Agreement.

  • Senior Notes Documents means the Senior Notes, the Senior Notes Indenture, the Senior Notes Guarantees and all other documents executed and delivered with respect to the Senior Notes or the Senior Notes Indenture.

  • Tranche B Notes is defined in Section 1.

  • Revolving Loan Notes means with respect to any Borrower the promissory notes of such Borrower in favor of each Lender evidencing the Revolving Loans made to such Borrower and substantially in the form of Exhibit 2.7(a), as such promissory notes may be amended, modified, supplemented or replaced from time to time.

  • Second Lien Notes Documents means the Second Lien Notes, the Second Lien Notes Indenture, the Second Lien Notes Security Documents and all other documents executed and delivered with respect to the Second Lien Notes or Second Lien Notes Indenture, as in effect on the Effective Date and as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

  • High Yield Notes means the Senior Notes and Senior Subordinated Notes.

  • 2014 Notes means the aggregate principal amount of US$399,517,000 of 10.25% Guaranteed Senior Notes Due 2014 issued pursuant to the 2014 Note Indenture.

  • DTC Notes means Notes cleared, settled and maintained on the DTC System, registered in the name of a nominee of DTC. All of the Notes will be DTC Notes at issuance.

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • Senior Notes Indentures means, collectively, the 2020 Senior Notes Indenture and the 2023 Senior Notes Indenture.

  • Senior Unsecured Notes Indenture means the Indenture dated as of July 20, 2011 among Xxxxx Fargo Bank, National Association, as trustee, the Borrower, as issuer, and the guarantors party thereto, as the same may be amended or supplemented from time to time.

  • Principal Facility means the real property, fixtures, machinery and equipment relating to any facility owned by the Issuer or any Subsidiary, except for any facility that, in the opinion of the Board of Directors, is not of material importance to the business conducted by the Issuer and its Subsidiaries, taken as a whole.

  • Series B Notes is defined in Section 1.

  • Class B Notes means the Class B 5.03% Asset-Backed Notes substantially in the form of Exhibit B to the Indenture.

  • Subordinated Notes Indenture means that certain Subordinated Debenture Indenture between DH (f/k/a NGC Corporation) and First National Bank of Chicago, as Debenture Trustee, dated as of May 28, 1997 (as amended, restated and supplemented through the Petition Date).
