Note Reference Date means the first date following the date hereof (i) when there is an effective registration statement to cover the resale of the Conversion Shares, (ii) when the Conversion Shares may be sold under Rule 144 and the Company is then in compliance with the current public information required under Rule 144, or (ii) when the Conversion Shares may be sold under Rule 144 without the requirement for the Company to be in compliance with the current public information required under Rule 144 as to the Conversion Shares and without volume or manner-of-sale restrictions.

  • At any time following the earlier of the (i) the date of the Initial Public Offering or (ii) the Note Reference Date, upon five (5) days written notice to the Holder, the Company may prepay any portion of the principal amount of this Note and any accrued and unpaid interest.
