Notice of Escrow Closing means a written certificate that is signed on behalf of the Company by a duly authorized officer thereof stating that the following conditions to the release of Subscriptions and Escrow Funds from escrow have been satisfied:

  • Plant closing means the closing of a plant site or other corporate location that directly results in termination of the Grantee’s Service.

  • Title Company means First American Title Insurance Company.

  • Indemnity Escrow Agreement has the meaning set forth in Section 1.5.

  • Buyer has the meaning set forth in the preamble.

  • Closing Statement has the meaning set forth in Section 2.5(a).

  • Seller has the meaning set forth in the Preamble.

  • Seller’s Counsel has the meaning set forth in Section 10.13(a).
