  • Such Notice of Taxable Allocation will state (i) the amount of the dividends payable in respect of each RVMTP Share of the applicable Series for such Dividend Period that will be a Taxable Allocation and (ii) the adjustment to the Dividend Rate for each Rate Period (or portion thereof) included in such Dividend Period that will be required in order for the Fund to pay the Additional Amount Payment in respect of the Taxable Allocation made in respect of such RVMTP Shares for such Dividend Period.

  • Whenever the Fund intends or expects to include any Taxable Allocation in any dividend on VRRM-MFP Shares, the Fund shall provide a Notice of Taxable Allocation in accordance with Section 2.7(a) of the Supplement.

  • Similarly, if the Fund determines that any net capital gains or ordinary income must be included in a dividend on iMTP Shares of a Series but it is not practicable to comply with the requirements for prior notice in Section 2.01(e), then the Fund shall provide notice by delivering a Notice of Taxable Allocation thereof to the Calculation and Paying Agent as soon as practicable, but in any event prior to the end of the calendar year in which such dividend is paid.

  • Whenever such Notice of Taxable Allocation is received from the Fund, the Calculation and Paying Agent will, in turn, provide notice thereof to each Holder and to each Designated Owner that has been identified in writing to the Calculation and Paying Agent within two (2) Business Days of receipt by the Calculation and Paying Agent of such Notice of Taxable Allocation.

  • If the Fund does not provide a Notice of Taxable Allocation as provided in Section 2.11(a) with respect to a Taxable Allocation that is made in respect of RVMTP Shares of a Series, the Fund may make one or more supplemental distributions on shares of such Series equal to the Additional Amount Payment to be paid to a Holder in respect of such Taxable Allocation.

  • Taxable Allocation means, with respect to any Series, the allocation of any net capital gains or other income taxable for federal income tax purposes to a dividend paid in respect of such Series.

  • Allocation Notice shall have the meaning assigned to such term in Section 11.14(i) hereof.

  • Tax Notice has the meaning set forth in Section 2.06(a).

  • Required Allocations means (a) any limitation imposed on any allocation of Net Losses or Net Termination Losses under Section 6.1(b) or 6.1(c)(ii) and (b) any allocation of an item of income, gain, loss or deduction pursuant to Section 6.1(d)(i), 6.1(d)(ii), 6.1(d)(iv), 6.1(d)(vii) or 6.1(d)(ix).

  • Notice of Final Distribution The notice to be provided pursuant to Section 9.02 to the effect that final distribution on any of the Certificates shall be made only upon presentation and surrender thereof.

  • Curative Allocation means any allocation of an item of income, gain, deduction, loss or credit pursuant to the provisions of Section 6.1(d)(xi).

  • Net Taxable Income has the meaning set forth in Section 4.01(b)(i).

  • Allocation Schedule has the meaning set forth in Section 2.07.

  • Allocated Loss Adjustment Expenses or “ALAE” means all court costs and court expenses; pre- and post-judgement interest; fees for service of process; attorneys’ fees; cost of undercover operative and detective services, costs of employing experts; costs for legal transcripts; costs for copies of any public records; costs of depositions and court-reported or recorded statements; costs and expenses of subrogation; and any similar fee, cost or expense reasonably chargeable to the investigation, negotiation, settlement or defense of a loss or a claim or suit against you, or to the protection and perfection of your or our subrogation rights.

  • Post-Distribution Tax Period means a Tax year beginning and ending after the Distribution Date.

  • Tax Allocations means the allocations set forth in paragraph 4 of Exhibit B.

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Final Adjustment Statement has the meaning set forth in Section 2.6(c).

  • Allocated Realized Loss Amount With respect to any Distribution Date and any Class of Mezzanine Certificates, the sum of (i) any Realized Losses allocated to such Class of Certificates on such Distribution Date and (ii) the amount of any Allocated Realized Loss Amount for such Class of Certificates remaining unpaid from the previous Distribution Date.
