If an Allocation Schedule Notice of Disagreement is received by Purchaser in a timely manner, the Parties shall use their reasonable best efforts to resolve any disagreement between the Parties with respect to the Allocation Schedule within fifteen (15) days after Seller’s Allocation Schedule Notice of Disagreement has been delivered or as soon thereafter as is reasonably practicable.
The Parties shall report the Tax consequences of the transactions contemplated by this Agreement in a manner consistent with the Allocation Schedule and shall not take any action or position inconsistent therewith on any Tax Return or in any Tax audit, examination or other proceeding, except to the extent required by Applicable Law relating to Taxes, including a “determination” within the meaning of Section 1313(a) of the Code.
Following determination of the Allocation Schedule under this Section 2.4(3), Purchaser and Seller shall revise the Allocation Schedule in a manner consistent with the procedures set forth in this Section 2.4(3) to take into account any adjustments to the Total Consideration not previously taken into account.
Within fifteen (15) days following receipt of the Allocation Schedule, Seller may give written notice of any disagreement with the Allocation Schedule to Purchaser (the “Allocation Schedule Notice of Disagreement”), which notice shall specify in reasonable detail the nature of any disagreement so asserted.
