Offered Subordinate Certificate. Any of the Class M-1, Class M-2 or Class M-3 Certificates.

If no such quotations can be obtained by the Securities Administrator and no Reference Bank Rate is available, One-Month LIBOR will be One-Month LIBOR applicable to the preceding Interest Accrual Period.
