Offering Fee definition

Offering Fee means a payment in the amount set forth in the Summary Page that will be owed to Franchisor in connection with any offerings of debt or any Equity Interest of Franchisee or any of its Principals or Affiliates as set forth in Section 18(g).
Offering Fee. Franchisor’s reasonable costs and expenses associated with reviewing a proposed offering, including, without limitation, legal and accounting fees and salaries of Franchisor’s personnel and its professional advisors.
Offering Fee shall be equal to 7% of the total dollar amount of equity capital raised in the Offering. The Offering Fee shall be paid to Managing Broker-Dealer contemporaneously with each closing of the sale of Securities pursuant to the Offering. The Offering Fee above will also be due and payable to Managing Broker-Dealer, per the above fee percentages, on any amounts raised, funded or committed by Client, its affiliates, or any of their respective personnel, owners, board members, Advisers or other associated parties.

  • The Offering Fee shall only be payable after the Financial Industry Regulatory Authority ("FINRA") department of Corporate Finance issues a no objection letter (the "No Objection Letter") for the Offering.
