Offering Maximum. The maximum amount of Capital Contributions and Non-Capital Contributions which may be raised by the Company in a given Offering period or term and which, if raised during said period or term, will result in an automatic Closing of that Offering.
Offering Maximum means an aggregate offering amount of up to $3,000,000.
Offering Maximum means the Valuation Range Maximum less the product of (i) the number of Shares to be issued to the Surplus Note holders pursuant to Section 7.1 of the Plan multiplied by (ii) the Purchase Price.

The allocation among Contributing Guarantors of their obligations as set forth in this paragraph 2 or any similar provision contained in a Related Guaranty shall not be construed in any way to limit the liability of any Contributing Guarantor hereunder or under a Related Guaranty. Each Contributing Guarantor under a Related Guaranty is a third party beneficiary to the contribution agreement set forth in this paragraph 2.
