Officer Committee definition

Officer Committee means any committee of Officers appointed by the Board to administer this Plan pursuant to Section 4.1(c).
Officer Committee means the Officer Committee of the Corporation, which is comprised of the President and Chief Executive Officer, the Senior Vice President and Chief Financial Officer and the Senior Vice Presidents of the Corporation;
Officer Committee means a committee comprising the following officers of the Company: Chief Executive Officer, Chief Financial Officer and Vice President, Human Resources. Notwithstanding the foregoing, if the Officer Committee or the Board of Directors believes that an action to be taken by the Officer Committee hereunder should instead be taken by the Board of Directors or a committee thereof composed solely of two or more Non-Employee Directors (as such term is defined in Rule 16b-3(b)), because of the implications of such action under Section 16 of the Securities Exchange Act of 1934 or the Rules adopted thereunder, then the applicable reference to the Officer Committee shall be deemed to refer to the Board of Directors or such committee.
