The amount of Rent Offset, if approved, shall be the cost of the Improvement as identified in Lessee’s construction documents as approved by Lessor and the mutually agreed upon Class B Cost Estimate and as subsequently supported by evidence of costs and payments that in the Lessor’s reasonable determination is necessary to evaluate and ascertain post-occupancy Improvement costs proposed for Rent Offset.
The cost of Improvements restored with insurance proceeds and applicable deductibles are not eligible for Rent Offset.
