Oil States Notes means Oil States’ (a) 5 1/8% Senior Notes due 2023 and (b) the 6 1/8% Senior Notes due 2019.
Original Notes means the Initial Notes and any Exchange Notes issued in exchange therefor.
2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.
2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.
2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.
MAC Notes The Classes of Modifiable And Combinable STACR® Notes shown on
2028 Notes has the meaning specified in the recitals of this First Supplemental Indenture.
New Notes shall have the meaning assigned to such term in Section 32.
2016 Notes means the aggregate principal amount of US$460,000,000 of 4.25% Convertible Senior Notes Due 2016 issued pursuant to the 2016 Note Indenture.
2017 Notes means the aggregate principal amount of US$600,000,000 of 6.25% Guaranteed Senior Notes Due 2017 issued pursuant to the 2017 Note Indenture.
Registered Notes has the meaning specified in Section 2.1.
Initial Additional Notes means Additional Notes issued in an offering not registered under the Securities Act and any Notes issued in replacement thereof, but not including any Exchange Notes issued in exchange therefor.
2018 Notes means the Company’s 7.75% Senior Subordinated Notes due 2018 issued under the Indenture dated December 14, 2010 among the Company, Holdings and the subsidiary guarantors from time to time party thereto and The Bank of New York Mellon Trust Company, N.A., as Trustee.
2022 Notes means the 4.875% Senior Notes due 2022, originally issued by Rowan Companies, Inc., a Delaware corporation.
Notes shall have the meaning assigned to such term in the recitals.
Seller Notes means any promissory note or notes issued by the Borrower or a Restricted Subsidiary of the Borrower in respect of any acquisition permitted hereunder as consideration in connection with such acquisition, but that is not in the nature of an earn-out obligation or similar deferred or contingent obligation.
Old Notes shall have the meaning set forth in the preamble hereto.
Exchange Notes means the Notes issued in the Exchange Offer pursuant to Section 2.06(f) hereof.
2024 Notes means the 7.625% unsecured notes due April 15, 2024, issued pursuant to the 2009 Notes Indenture.
Rule 144A Global Notes has the meaning set forth in Section 2.16.
Initial Notes has the meaning set forth in the recitals hereto.
2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.
2023 Notes means the 6 7/8% Notes due 2023 issued by NTL pursuant to the 1988 Indenture.
Retained Notes means the Class A-1 Notes, the Class B Notes, $23,434,000 of the Class A-2a Notes, $6,316,000 of the Class A-2b Notes, $25,900,000 of the Class A-3 Notes and $7,663,000 of the Class A-4 Notes until such time as such Notes are the subject of an Opinion of Counsel pursuant to Section 2.04(h) of the Indenture with respect to their classification as debt for federal income tax purposes.
