Operating Managers definition

Operating Managers means the Member or Members selected by the Members in accordance with this Agreement to serve as Operating Manager or Operating Managers of the Company.
Operating Managers means such person or Persons as a majority of the Members shall elect from time to time.

Examples of Operating Managers in a sentence

  • Any Member shall have the right from time to time at his expense to have his accountants and representatives examine and/or audit the books and records of the Company and the information referred to in this Section, and the Operating Managers will make such books and records and information available for such examinations and/or audits.

  • If to the Company, to it in care of the Operating Managers at the address of the Company.

  • If to the Operating Managers, to them at the address of the Company.

  • All determinations by the Operating Managers with respect to the treatment of any item or its allocation for Federal, state or local tax purposes shall be binding upon all the Members unless the determination is inconsistent with any express provision of this Agreement.

  • Complete and accurate books of account, in which shall be entered, fully and accurately, each and every transaction of the Company, shall be kept by the Operating Managers at the principal office of the Company.

  • Except as otherwise provided in this Agreement, all decisions of the Operating Managers shall be by a majority in interest of the Members.

  • The Operating Managers shall vote in proportion to their Membership Interests in the Company.

  • Unless the proxy by its terms provides for a specific revocation date and except as otherwise provided by statute, revocation of a proxy shall not be effective unless and until such revocation is executed in writing by the Member who executed such proxy and the revocation is filed with the Operating Managers of the Company prior to the voting of the proxy.

  • The Operating Managers or the person presiding at the meeting shall appoint any person present to act as secretary of the meeting.

  • Notice shall be given either personally or by mailing said notice by first class mail to each Member at his address appearing on the record book of the Company or at such other address supplied by him in writing to the Operating Managers of the Company for the purpose of receiving notice.

  • Existing Manager means THR Property Management L.P.

  • Training manager means the individual responsible for administering a training program and monitoring the performance of principal instructors and guest instructors.

  • Managers means a Person who is named or designated as a manager or managing member or otherwise acts in the capacity of a manager or managing member of a limited liability company in a limited liability company agreement or similar instrument under which the limited liability company is formed or operated.

  • Manager has the meaning set forth in 2.1.

  • Operations Manager is defined in Section 4.8(a).

  • Property Manager means an entity that has been retained to perform and carry out at one or more of the Properties property-management services, excluding persons, entities or independent contractors retained or hired to perform facility management or other services or tasks at a particular Property, the costs for which are passed through to and ultimately paid by the tenant at such Property.

  • Construction-manager-at-risk means a project delivery method in which:

  • Airport Manager means that term as defined in section 2 of the aeronautics code of the state of Michigan, 1945 PA 327, MCL 259.2.

  • City’s Manager means a manager who at the relevant time carries such designation from the City under, or in accordance with, ARTICLE 5;

  • General Manager of Railway means the officer - in-charge of the General Superintendence and Control of the Railway and shall mean and include their successors, of the successor Railway;

  • Sub-Manager Any Person with which the Property Manager or the Special Servicer has entered into a Sub-Management Agreement.

  • Project Managers means the individuals identified in Section 12 of this Agreement who are authorized by TriMet and Subrecipient respectively to send and receive communications regarding this Agreement.

  • Amenity Manager – shall mean the District Manager or that person or firm so designated by the District’s Board of Supervisors, including their employees.

  • Regional Manager means regional executive director of the Ministry or except for Section 2.1.1(1)(a), regional executive director’s designate;

  • PJM Management means the officers, executives, supervisors and employee managers of PJM.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;

  • Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.

  • Co-Managers means, collectively, (a) MUFG Bank, Ltd. (f/k/a The Bank of Tokyo-Mitsubishi UFJ, Ltd.), (b) Capital One, N.A., (c) Citizens Bank, National Association and (d) Fifth Third Bank, National Association.

  • Operator means the operator of an internet website, online service, online application, or mobile application with actual knowledge that the site, service, or application is used for K–12 school purposes. Any entity that operates an internet website, online service, online application, or mobile application that has entered into a signed, written agreement with an LEA to provide a service to that LEA shall be considered an “operator” for the purposes of this section.

  • Load Management means a Demand Resource (“DR”) as defined in the Reliability Assurance Agreement.

  • Management Company means the firm overseeing the operation and management of the Participating Property; and shall mean the Grantee in any event wherein the Management Company is required to perform any obligations under this Agreement.

  • Operating Advisor means the operating advisor appointed as provided in the Lead Securitization Servicing Agreement.

  • City Manager means the City Manager of the City.

  • Procurement Manager means any person or designee authorized by a state agency or local public body to enter into or administer contracts and make written determinations with respect thereto.

  • Construction Manager means a competent person responsible for the management of the physical construction processes and the coordination, administration and management of resources on a construction site;

  • Non-Managing Member means any Member other than the Managing Member.
