Operating Subleases definition

Operating Subleases. As defined in the Recitals.
Operating Subleases means and refer to the Rockdale Sublease, the Sea Breeze Sublease, the Buckhead Sublease, the Shreveport Sublease, the Xxxx Minor Sublease, the Westminster Sublease, the Parkway Sublease, the Millington Sublease, the Riverside Sublease and the New London Sublease (once executed); and
Operating Subleases means the five (5) sublease agreements between Tenant, as sublandlord, and each of the Operating Subtenants (defined below). Each Operating Sublease shall be acceptable to Buyer in its reasonable discretion.

Examples of Operating Subleases in a sentence

  • Simultaneously with the execution of this Lease, Tenant shall execute each of the Operating Subleases, and shall cause the Operating Subtenants to execute and deliver the Operating Subleases.

  • Except during periods when a Property is untenantable due to Casualty or Condemnation (and provided that Lessee continues to strictly comply with the other terms and conditions of this Lease), and except for the Operating Subleases (defined in Section 14.04 below), Lessee shall at all times during the Lease Term occupy the Properties and shall diligently operate its business on the Properties.

  • Generally, the CID must be used in the process of investigating possible violations.

  • The Authority acknowledges the terms of the Ground Lease, the Site Lease and the Facility Lease, as amended in connection with the issuance of the 2017 Bonds and agrees that the OES Sublease and the Operating Subleases are and shall remain in all respects subordinate and subject to the Ground Lease, the Site Lease and the Facility Lease as amended from time to time without the need for any further acknowledgement or consent by the Authority.

  • From and after the occurrence of an Event of Default, Xxxxxx does hereby irrevocably appoint Lessor as Xxxxxx’s true and lawful attorney, with full power (in the name of Lessee or otherwise) to ask, require, demand, receive and give acquittance for every payment under or arising out of the Operating Subleases to which Lessee is or may become entitled.

  • Section 1.3 Title to the Premises shall be subject to those existing recorded documents encumbering the Premises which are listed as “Permitted Exceptions” on Schedule A‑1 through Schedule A‑8 (collectively, the “Permitted Exceptions”), and Tenant agrees that its use and occupancy of the Premises, and each of the Operating Subleases, shall be subject to the terms and conditions of said Permitted Exceptions.

  • Xxxxxx further agrees to execute any and all other instruments deemed reasonably necessary by Xxxxxx to further the intent of the foregoing assignment and to vest Lessor in the Operating Subleases.

  • Excluded Assets: As defined in Section 1.1. Excluded Sublease: The Operating Subleases and any subleases of the Leased Property, or any portion thereof, that are in existence as of the date hereof.

  • The parties hereby acknowledge that the structure created by the Lease and the Operating Subleases is not intended to limit the rights granted to or expressly or implicitly reserved by Landlord under this Lease.

  • Simultaneously with the execution of this Master Lease, Tenant shall execute each of the Operating Subleases, and shall cause the Operating Subtenants to execute and deliver the Operating Subleases.


More Definitions of Operating Subleases

Operating Subleases means the three (3) sublease agreements between Tenant, as sublandlord, and each of the Operating Subtenants (defined below). Each Operating Sublease shall be prepared by Buyer and shall be substantially similar to the Master Lease in form and substance, and shall be acceptable to Buyer in its reasonable discretion. (i) “Operating Subtenant” shall mean each licensed tenant operator of any portion of the Property as of the Effective Date, which shall continue to occupy and operate the applicable portion of the Property pursuant to the Operating Sublease relating to same. The
Operating Subleases means the four (4) sublease agreements between Tenant, as sublandlord, and Landmark CG, Landmark Joplin, Landmark Columbia and Landmark Athens, respectively, as subtenant. Each Operating Sublease shall be substantially in the form attached to this Agreement as Schedule 10(l), with deviations from said form requiring the consent of the parties.

Related to Operating Subleases

  • Operating Leases means all real or personal property leases under which any Company is bound or obligated as a lessee or sublessee and which, under GAAP, are not required to be capitalized on a balance sheet of such Company; provided that Operating Leases shall not include any such lease under which any Company is also bound as the lessor or sublessor.

  • Master Leases means the PropCo Master Leases and each other Material Master Lease.

  • Subleases means the Sublease(s) of even date herewith by and between the District and Contractor together with any duly authorized and executed amendment hereto under which the District subleases the Site from the Contractor.

  • Leases means any and all leases, subleases, tenancies, options, concession agreements, rental agreements, occupancy agreements, franchise agreements, access agreements and any other agreements (including all amendments, extensions, replacements, renewals, modifications and/or guarantees thereof), whether or not of record and whether now in existence or hereafter entered into, affecting the use or occupancy of all or any portion of any Real Property.

  • New Leases means, collectively, any lease for space at the Property entered into between the Commencement Date and the Closing Date.

  • Operating Lease means, as applied to any Person, any lease (including, without limitation, leases which may be terminated by the lessee at any time) of any Property (whether real, personal or mixed) which is not a Capital Lease other than any such lease in which that Person is the lessor.

  • Tenant Leases means leases, subleases, licenses or other use agreements between Seller and tenants with respect to Real Property, if any.

  • Permitted Sublease means a sublease permitted under Section 7.2.7 of the Lease.

  • Space Leases means any and all leases, subleases, lettings, licenses, concessions, operating agreements, management agreements, and all other agreements affecting the Trust Estate that Trustor has entered into, taken by assignment, taken subject to, or assumed, or has otherwise become bound by, now or in the future, that give any person the right to conduct its business on, or otherwise use, operate or occupy, all or any portion of the Site or Improvements and any leases, agreements or arrangements permitting anyone to enter upon or use any of the Trust Estate to extract or remove natural resources of any kind, together with all amendments, extensions, and renewals of the foregoing entered into in compliance with this Deed of Trust, together with all rental, occupancy, service, maintenance or any other similar agreements pertaining to use or occupation of, or the rendering of services at the Site, the Improvements or any part thereof.

  • Lease Agreements shall have the meaning set forth in Section 3.14.

  • Sublease means a lease of goods the right to possession and use of which was acquired by the lessor as a lessee under an existing lease.

  • Lease Area means the Lease Area as more particularly described in SCHEDULE C.

  • Sublease Agreement means that certain Sublease Agreement, dated as of May 1, 2021 by and between the Company and the Agency.

  • Ground Leases Those certain leases with respect to real property that is a portion of the Leased Property, pursuant to which Landlord is a tenant and which leases have either been approved by Tenant or are in existence as of the date hereof and listed on Schedule A hereto.

  • Permitted Sublessee means the sublessee under a Permitted Sublease.

  • Facility Leases means all of the leases of Facilities listed on Schedule 3.7 of the Disclosure Schedules.

  • Sub-Lease means the sub-lease entered into following the approval of an Approved Sub-lease;

  • Master Lease This Schedule is issued pursuant to the Lease identified on page 1 of this Schedule. All of the terms and conditions of the Lease are incorporated in and made a part of this Schedule as if they were expressly set forth in this Schedule.   • Tenant Lease means any lease entered into by the Borrower, any Loan Party or any Subsidiary with respect to any portion of a Property.

  • Operating Lease Expense means the sum of all payments and expenses incurred by a Person, under any operating leases during the period of determination, as determined in accordance with GAAP.

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:

  • New Lease Any lease of REO Property entered into on behalf of REMIC I, including any lease renewed or extended on behalf of REMIC I, if REMIC I has the right to renegotiate the terms of such lease.

  • Existing Leases means those leases, license agreements and occupancy agreements identified on Schedule 2.1.3, as the same may be amended or modified from time to time in accordance with the terms of this Agreement.

  • Lease means any agreement, whether written or oral, no matter how styled or structured, pursuant to which a Loan Party is entitled to the use or occupancy of any real property for any period of time.

  • operating site means a site, other than an aerodrome, selected by the operator or pilot-in-command or commander for landing, take-off and/or external load operations;
