Operating Subtenant definition

Operating Subtenant. Each of the Persons listed as an Operating Subtenant in Exhibit D together with any other Person that is an Affiliate of Tenant to whom all or any portion of a Facility is sublet by Tenant pursuant to an Operating Sublease.
Operating Subtenant means each of the five (5) affiliates of New Operator formed for the purpose of acquiring certain assets of Operator pursuant to the OTA, becoming the licensed operator of the respective Facility and being the subtenant under each Operating Sublease.
Operating Subtenant means (i) Landmark CG, as tenant of the CG Real Property and CG Improvements pursuant to the Operating Sublease relating to same; (ii) Landmark Joplin, as tenant of the Joplin Real Property and Joplin Improvements pursuant to the Operating Sublease relating to same; (iii) Landmark Columbia, as tenant of the Columbia Real Property and Columbia Improvements pursuant to the Operating Sublease relating to same; and (iv) Landmark Athens, as tenant of the Athens Real Property and Athens Improvements pursuant to the Operating Sublease relating to same.

  • In addition to the insurance described above, Tenant shall at all times maintain or cause to be maintained adequate workers’ compensation coverage and any other coverage required by Legal Requirements for all Persons employed by Tenant or any Operating Subtenant on the Leased Property in accordance with Legal Requirements.

  • In addition, Xxxxxxxx agrees to, at Xxxxxx’s sole cost and expense, reasonably cooperate with Tenant (or any Operating Subtenant) and all applicable authorities in connection with the foregoing clauses (i)-(iv), including the provision and execution of such documents and other information as may be reasonably requested by Tenant or such authorities relating to the Leased Property and which are within Landlord’s reasonable control to obtain and provide.

  • In connection with Settlement Discussions, (i) Tenant shall timely provide Landlord with copies of any and all documents that Tenant or any Operating Subtenant intends to submit, or that Tenant or any Operating Subtenant receives, in connection with any Settlement Discussions, and (ii) Tenant shall advise Landlord as to the status of the Settlement Discussions.

  • Upon Landlord’s reasonable request from time to time, but not more frequently than once each year in connection with the Annual Certificate, Tenant shall provide Landlord with copies of any final third-party surveys, environmental, engineering, zoning, seismic or property condition reports (other than any which are subject to privilege) obtained by Tenant or any Operating Subtenant with respect to the Leased Property.

  • Collectively, any agreements or arrangements pursuant to which Tenant, any Operating Subtenant or any of their respective Subsidiaries is granted a license to use any System-wide IP other than readily available off-the-shelf software.

  • For any date, the ratio of (i) EBITDAR derived from the Facilities by Tenant, any Operating Subtenant or their Affiliates (without duplication) for the Test Period most recently ended prior to such date to (ii) Rent for the Test Period most recently ended prior to such date.

  • In performing the obligations set forth in this Section, Tenant shall be permitted to cause the Operating Subtenant that occupies the portion of the Premises covered by the applicable Operating Sublease to perform the obligations of Tenant on behalf of Tenant.

Operating Subtenant means 84 Lumber company, a Pennsylvania limited partnership.

  • Subtenant means any Person entitled to occupy, use, or possess any Premises under a Sublease.

  • Sublessee means any party to whom Lessee grants the right to possess all or any portion of the Premises according to a Sublease.

Notwithstanding any other term or provision of this Sublease, the liability of Subtenant to Sublandlord for any default in Subtenant’s obligations under this Sublease shall be limited to actual, direct damages, and under no circumstances shall Sublandlord, its partners, members, shareholders, directors, agents, officers, employees, contractors, sublessees, successors and/or assigns be entitled to recover from Subtenant (or otherwise be indemnified by Subtenant) for lost revenues, lost profit or other consequential, special or punitive damages arising in connection with this Sublease for any reason, except for any breach by Subtenant under Section 12 of the Master Lease. Notwithstanding any other term or provision of this Sublease, no personal liability shall at any time be asserted or enforceable against Subtenant’s shareholders, directors, officers, or partners on account of any of Subtenant’s obligations or actions under this Sublease.

  • Subleased Premises means all that portion of the Leased Premises referred to as airport lot as outlined on the site diagram attached as Schedule "A" to this Sublease; and
