Operating Subtenant definition

Operating Subtenant. Each of the Persons listed as an Operating Subtenant in Exhibit D together with any other Person that is an Affiliate of Tenant to whom all or any portion of a Facility is sublet by Tenant pursuant to an Operating Sublease.
Operating Subtenant means each licensed tenant operator of any portion of the Property as of the Effective Date, which shall continue to occupy and operate the applicable portion of the Property pursuant to the Operating Sublease relating to same. The Operating Subtenant of the Batesville Property shall be Providence PCC of Batesville, a Mississippi limited liability company; and the Operating Subtenant of the Cleveland Property shall be Cleveland PCH Residential Living, LLC, a Mississippi limited liability company. Buyer shall have the right to approve the ownership and control of Operating Subtenant as of Closing.
Operating Subtenant. Initially, individually or collectively as the context may require, each entity listed on Schedule 2 attached hereto, each of which is and shall continue to be a Subsidiary of Tenant’s Parent, and any other Subsidiary of Tenant’s Parent that subleases any Operating Subleased Property in accordance with Section 41.17.

  • Landlord shall indemnify and hold harmless Tenant from and against any actual loss, cost or expense (including reasonable legal fees and expenses) which may be suffered or incurred by Tenant, any Operating Subtenant or their respective Affiliates as the result of Landlord’s failure to discharge and satisfy any such Lessor Lien to the extent Landlord is required to do so in accordance with the terms hereof.

  • In addition to the insurance described above, Tenant shall at all times maintain or cause to be maintained adequate workers’ compensation coverage and any other coverage required by Legal Requirements for all Persons employed by Tenant or any Operating Subtenant on the Leased Property in accordance with Legal Requirements.

  • Tenant and each Operating Subtenant shall maintain sufficient Tenant’s Property (or personal property leased by Tenant or any Operating Subtenant or Corporate Shared Services Property) with respect to each Facility as may be necessary to comply with the Operating Standard.

  • In addition, ▇▇▇▇▇▇▇▇ agrees to, at ▇▇▇▇▇▇’s sole cost and expense, reasonably cooperate with Tenant (or any Operating Subtenant) and all applicable authorities in connection with the foregoing clauses (i)-(iv), including the provision and execution of such documents and other information as may be reasonably requested by Tenant or such authorities relating to the Leased Property and which are within Landlord’s reasonable control to obtain and provide.

  • Landlord, to the extent it possesses the same, and ▇▇▇▇▇▇, to the extent it or any Operating Subtenant possesses the same, shall provide the other party, upon request, with cost and depreciation records necessary for filing returns for any property so classified as personal property.

  • In connection with Settlement Discussions, (i) Tenant shall timely provide Landlord with copies of any and all documents that Tenant or any Operating Subtenant intends to submit, or that Tenant or any Operating Subtenant receives, in connection with any Settlement Discussions, and (ii) Tenant shall advise Landlord as to the status of the Settlement Discussions.

  • In performing the obligations set forth in this Section, Tenant shall be permitted to cause the Operating Subtenant that occupies the portion of the Premises covered by the applicable Operating Sublease to perform the obligations of Tenant on behalf of Tenant.

  • All of the Equipment, Fixtures and Personal Property (including (x) any Personal Property owned by MGM/Mandalay Tenant that is subject to the MGM/Mandalay Lease and (y) any Personal Property owned by MGM/Mandalay Operating Subtenant) are sufficient to operate the Properties in the manner required hereunder and in the manner in which they are currently operated, except to the extent the same would not be reasonably expected to have a material adverse effect on Borrower or any Individual Property.

  • Tenant shall cause any bond or other instrument which Tenant or any Operating Subtenant is permitted to hold in lieu of cash deposits under any Applicable Law or Governmental Authority requirements to be maintained in full force and effect and to comply, in all material respects, with any Applicable Law or Governmental Authority requirements.

  • Closing will not be extended to permit the Facility Owner and Operating Subtenant to complete the same, but subject to the terms of any Existing Owner Financing, the insurance proceeds will be assigned to Purchaser to pay the costs of restoration.

Operating Subtenant means (i) Landmark CG, as tenant of the CG Real Property and CG Improvements pursuant to the Operating Sublease relating to same; (ii) Landmark Joplin, as tenant of the Joplin Real Property and Joplin Improvements pursuant to the Operating Sublease relating to same; (iii) Landmark Columbia, as tenant of the Columbia Real Property and Columbia Improvements pursuant to the Operating Sublease relating to same; and (iv) Landmark Athens, as tenant of the Athens Real Property and Athens Improvements pursuant to the Operating Sublease relating to same.
Operating Subtenant means each licensed tenant operator of any portion of the Property as of the Closing Date, which shall continue to occupy and operate the applicable portion of the Property pursuant to the Operating Sublease relating to same. The Operating Subtenant of the Clemmons Property shall be Carillon Assisted Living of ▇▇▇▇▇▇▇▇, LLC, a Delaware limited liability company; Huntersville Property shall be Carillon Assisted Living of Huntersville, LLC, a Delaware limited liability company; Mooresville Property shall be Carillon Assisted Living of Mooresville, LLC , a Delaware limited liability company; North Raleigh Property shall be Carillon Assisted Living of Raleigh – Old Wake Forest Road, LLC, a Delaware limited liability company; and Wake Forest shall be Carillon Assisted Living of Wake Forest, LLC, a Delaware limited liability company.
Operating Subtenant means 84 Lumber company, a Pennsylvania limited partnership.
