Optional Redemption Event definition

Optional Redemption Event means any one of the following events:

Examples of Optional Redemption Event in a sentence

• In the case of an Optional Redemption Event described in clause (5) of the definition of the term Optional Redemption Event, for so long as any shares of Preferred Stock are outstanding the Conversion Price will be 70% of the amount which the Conversion Price would otherwise be.

• As a result of such Optional Redemption Event, the above-named holder (the “Holder”) is entitled to exercise its optional redemption rights pursuant to Section 11(b)(2) of the Certificate of Designations.

• From the date of execution and delivery of this Agreement by the parties hereto to the date of issuance of the Preferred Shares and the Warrant, the Company shall not take any action which, if the Preferred Shares were outstanding, would constitute an Optional Redemption Event, or with the giving of notice or the passage of time or both, would constitute an Optional Redemption Event.

Optional Redemption Event means that on each Trading Day in any period of 20 consecutive Trading Days commencing on or after the date which is 730 days after the Issuance Date, the Market Price of the Common Stock shall have been not less than 200% of the Ceiling Price in effect on such Trading Day.

Optional Redemption Event means the event where the Issuer elects to make a partial repayment of the Bonds on the Original Final Redemption Date in accordance with Clause 11.2.1.
