Optional Securities definition

Optional Securities has the meaning specified in the recitals to this Agreement.
Optional Securities means Securities or Additional Securities purchased by Buyer pursuant to this Agreement at an Optional Closing during the Optional Period.

Examples of Optional Securities in a sentence

  • No Optional Securities shall be sold or delivered unless the Firm Securities previously have been, or simultaneously are, sold and delivered.

  • The Firm Securities and the Optional Securities are herein collectively called the “Offered Securities”.

  • The Company agrees to sell to the Underwriters the number of shares of Optional Securities specified in such notice and the Underwriters agree, severally and not jointly, to purchase such Optional Securities.

The number of shares of Common Stock and Series A-4 Preferred OP Units shall be reduced pro-rata based on a ratio of 60% Common Stock to 40% Series A-4 Preferred OP Units.
