As of the Original Agreement Date, each insurance policy maintained by Seller and material to the Business is in full force and effect, all premiums due and payable thereon have been paid in full and no member of Seller Group has (a) received a written notice of cancellation or non-renewal with respect thereto or (b) taken any action or failed to take any action which would constitute a default, or permit the termination or modification, of any such insurance policy.
Consequently, Persons other than the parties hereto may not rely upon the representations and warranties in this Agreement as characterizations of actual facts or circumstances as of the Original Agreement Date or as of any other date.
In the event of any material damage to or destruction of any of the Transferred Assets after the Original Agreement Date and prior to the Closing, the Seller shall give notice thereof to Purchaser.
