Original Bond Terms definition

Original Bond Terms means the bond terms dated 24 July 2019, for the bond issue with ISIN NO 0010851520 and made between the Issuer and the Bond Trustee.
Original Bond Terms means these Bond Terms as originally dated 16 March 2018, as amended by a waiver and amendment letter dated 16 March 2018 and as further amended and restated on 16 June 2018.
Original Bond Terms means the original bond terms dated 12 April 2018 and made between the Issuer and the Bond Trustee, as amended by the amendment agreement made between the Issuer and the Bond Trustee on 25 May 2018 relating to disbursement from the Escrow Account and the amendment agreement made between the Issuer and the Bond Trustee on 5 March 2019 relating to disbursement from the Escrow Account and the establishment and perfection of property mortgage.

Examples of Original Bond Terms in a sentence

  • The Parties have agreed to make certain amendments to the Original Bond Terms (as defined below) in light of positive changes to the Issuer’s financial position and outlook.

  • The previous guarantors, New Nordic Holding Limited, New Nordic Odin Guernsey Limited and Aros Capital Holding Limited are as of the date of these Bonds Terms released from their obligations under the Original Bond Terms, including, but not limited to, their obligation as Guarantors set out in clause 12 ( Guarantee and Indemnity) of Original Bond Terms.

  • With effect from the Effective Time, the Original Bond Terms shall be amended and restated as set out in Schedule 2 (Restated Bond Terms).

  • The Parties have entered into this Agreement in order to amend and restate the Original Bond Terms (as defined below) based on the Written Resolution of the Bondholders which was approved on [●] 2022 (the " Bondholders Resolution").

  • Lenigas ceased to be Co-Chairman of the Corporation as of May 22, 2019.

  • If the Effective Time has not occurred within the Effective Time Long-Stop Date, the Original Bond Terms will not be amended by this Agreement and shall remain in full force and effect in the form of the Original Bond Terms.#5488127/4 3 (7) 4.2 Continuing obligations(a) The provisions of the Restated Bond Terms and the other Finance Documents shall, save as amended and restated by this Agreement, continue in full force and effect.

Related to Original Bond Terms

  • Bond Terms means these terms and conditions, including all Attachments which shall form an integrated part of these Bond Terms, in each case as amended and/or supplemented from time to time.

  • Additional Bonds means the debt instruments issued under a Tap Issue, including any Temporary Bonds.

  • the first supplementary agreement means the agreement of which a copy is set out in the Second Schedule;

  • First Mortgage Bonds means bonds issued by the Company pursuant to the Indenture.

  • First Mortgage Indenture means a first mortgage indenture pursuant to which any Borrower or any Subsidiary of any Borrower may issue bonds, notes or similar instruments secured by a lien on all or substantially all of such Borrower’s or such Subsidiary’s fixed assets, as the case may be.

  • Purchase Price and Terms Letter With respect to each purchase of a Mortgage Loan Package hereunder, that certain letter agreement setting forth the general terms and conditions of such transaction consummated herein and identifying the Mortgage Loans to be purchased hereunder, by and between the Company and the Purchaser. Purchaser: Xxxxxx Brothers Bank, FSB or its successor in interest or any successor to the Purchaser under this Agreement as herein provided.

  • Bond Purchase Agreement means a Bond Purchase Agreement, dated as of the sale of the Series 2019 Bonds, entered into by and between KUB and the Underwriter, in substantially the form of the document attached hereto as Exhibit A, subject to such changes as permitted by Section 9 hereof, as approved by the President and Chief Executive Officer of KUB, consistent with the terms of this resolution;

  • Senior Note Indentures means, collectively, the Senior Note (2020) Indenture, the Senior Note (2021) Indenture, the Senior Note (2022) Indenture and the Senior Note (2023) Indenture.

  • Master Indenture means this Master Trust Indenture, as amended and supplemented from time to time in accordance with the provisions hereof.

  • Initial Bonds means the Bonds issued on the First Issue Date.

  • Series C Equipment Notes means Equipment Notes issued under an Indenture and designated as "Series C" thereunder.

  • Senior Note Indenture the Indenture entered into by Holdings, the Borrower and certain of its Subsidiaries in connection with the issuance of the Senior Notes, together with all instruments and other agreements entered into by Holdings, the Borrower or such Subsidiaries in connection therewith.

  • Original Purchase Agreement has the meaning set forth in the recitals to this Agreement.

  • 2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.

  • Existing Bonds means the following obligations of Seller:

  • the First Variation Agreement means the agreement a copy of which is set forth in the Second Schedule;

  • Note Purchase Agreements means (i) that certain Note Purchase Agreement, dated as of April 16, 2014 among the Parent, the Borrower, and the purchasers party thereto, (ii) that certain Note Purchase Agreement, dated as of December 18, 2014 among the Parent, the Borrower, and the purchasers party thereto, and (iii) that certain Note Purchase Agreement, dated as of June 13, 2018, among the Parent, the Borrower, and the purchasers party thereto, in each case as amended from time to time.

  • Principal Agreement means the agreement of which a copy is set out in the First Schedule to the Iron Ore (Hamersley Range) Agreement Act 1963 as amended by the agreement of which a copy is set out in the Second Schedule to that Act (both of which agreements were approved by that Act) and except where the context otherwise requires as further amended by this Agreement;

  • Replacement Bonds means Bonds issued to the Beneficial Owners of the Bonds in accordance with Section 210 hereof.

  • Subordinated Note Indenture means the Indenture dated as of the Closing Date, among the Borrower, the guarantors party thereto and The Bank of New York, as trustee, pursuant to which the Subordinated Notes are issued, as the same may be amended, supplemented or otherwise modified from time to time to the extent permitted by Section 10.7(b).

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • 2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.

  • Principal Agreements means this Agreement, the Share Exchange Agreement, the Standstill Agreement and the Registration Rights Agreement.

  • Note Purchase Agreement means the Note Purchase Agreement, dated as of the Issuance Date, among the Company, the Subordination Agent, the Escrow Agent, the Paying Agent, and the Pass Through Trustee under each Pass Through Trust Agreement providing for, among other things, the issuance and sale of certain equipment notes, as the same may be amended, supplemented or otherwise modified from time to time in accordance with its terms.

  • the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;
