Original Collateral definition

Original Collateral is defined in the recitals hereto.
Original Collateral means, in connection with the issue of the Notes, the Issuer’s rights, title and/or interests in and to:
Original Collateral means collateral from which proceeds are derived; “perfect” is defined by virtue of Article 21;

Examples of Original Collateral in a sentence

  • Purchase of Original Collateral: The Issuer will purchase the Original Collateral from the Vendor on the Issue Date pursuant to the Collateral Sale Agreement.

  • The ability of the Issuer to make timely payment and/or delivery of its obligations under the Swap Agreement depends on receipt by it of the scheduled payments under and/or deliveries of the Original Collateral.

  • In particular, the value of such Original Collateral will be affected in the event that the Original Collateral Obligor is or is likely to be dissolved, liquidated or wound up (which may occur in conjunction with an Original Collateral Default) and could be zero.

  • The value of the Original Collateral is an integral component of the Early Cash Redemption Amount that will be payable on the Notes were they to be redeemed early and will directly impact the return of the Noteholders upon early redemption.

  • As a result of the subordinated nature of such Original Collateral, the value attributed thereto by dealers in the market is likely to be substantially less than the value attributed to unsubordinated debt obligations of the Original Collateral Obligor.


More Definitions of Original Collateral

Original Collateral shall have the meaning assigned to such term in the recitals hereto.
Original Collateral means the Issuer’s rights, title and/or interests in and to each Initial Collateral Component and each Replacement Collateral, in each case together with any asset or property (which may, for the avoidance of doubt, include the benefit of contractual rights) into which any of Initial Collateral Component or Replacement Collateral Component is converted or exchanged or that is issued to the Issuer (or any relevant person holding such Initial Collateral Component or Replacement Collateral Component for or on behalf of the Issuer) by virtue of its holding thereof.
Original Collateral shall have the meaning provided in the recitals to this Agreement.

Original Collateral means the €500,000,000 1.125% Senior Notes due 2026 of the Original Collateral Obligor. The term “Original Collateral” shall include (x) any further Original Collateral acquired by the Issuer in connection with any further issue of notes that are to be consolidated and form a single series with the Notes, (y) any Original Collateral acquired by the Issuer by way of substitution or replacement of any Original Collateral previously held by it and (z) any asset or property (which may, for the avoidance of doubt, include the benefit of contractual rights) into which any of the Original Collateral is converted or exchanged or that is issued to the Issuer (or any relevant person holding such Original Collateral for or on behalf of the Issuer) by virtue of its holding thereof.
Original Collateral has the meaning set forth in Section 2.1.
Original Collateral means the Original Pledge Collateral and the Original Project Collateral.
