Each of the Original Series A Issue Price, the Original Series B Issue Price, the Original Series C Issue Price, the Original Series D Issue Price, the Original Series D-1 Issue Price, the Original Series E Issue Price, the Original Series E-1 Issue Price, the Original Series E-2 Issue Price, the Original Series F Issue Price and the Original Series G Issue Price is also referred to herein as the “Original Issue Price” for such series.
The Corporation shall allocate the aggregate Original Series E Issue Price of all shares of Series E Preferred Stock issued by the Corporation to capital for the Series E Preferred Stock, in accordance with the provisions of Section 154 of the Delaware General Corporation Law.
Each share of Series E Preferred Stock shall be convertible, at the option of the holder thereof, at any time and from time to time, into such number of fully paid and nonassessable shares of Common Stock as is determined by dividing the Original Series E Issue Price by the Conversion Price (as defined below) in effect at the time of conversion.
The conversion rate in effect at any time for conversion of the Series E Preferred (the "SERIES E CONVERSION RATE") shall be the quotient obtained by dividing the Original Series E Issue Price, plus any declared but unpaid dividends thereon, by the "Series E Conversion Price" calculated as provided in Section 5(c).
The redemption price payable by the Corporation upon redemption of any share of Series E Preferred Stock pursuant to Section 6,1 shall be an amount (the "Redemption Price") equal to 100% of the Original Series E Issue Price, plus all unpaid dividends on such share accrued from the date of issuance to the date of such redemption.
