Originator Collection Account definition

Originator Collection Account means any “Collection Account” and related Lockboxes (if any) set forth on Schedule 4.01(q) to the Funding Agreement, established by any Originator and maintained by such Originator at a Collection Account Bank, which account shall be subject to a Collection Account Agreement.

Originator Collection Account means each deposit account listed on Schedule II to this Agreement (as such schedule may be modified from time to time pursuant to the terms hereof).

Originator Collection Account means any Collection Account listed on Schedule D (as such Schedule may be supplemented by the Seller by notice to the Administrative Agent) that is legally owned by an Originator and for which the Originator Collection Account Condition is satisfied.

• Schedule 4.01(q) lists all banks and other financial institutions at which the Borrower maintains deposit or other bank accounts, including any Account and each Originator Collection Account, and such schedule correctly identifies the name, address and telephone number of each depository, the name in which the account is held, a description of the purpose of the account, and the complete account number therefor.

• No Originator shall close any Originator Collection Account unless it shall have received the prior written consent of the Requisite Lenders.

• Each Blocked Account shall at all times be subject to a Blocked Account Agreement and each Originator Collection Account shall at all times be subject to an Originator Account Control Agreement.

• Notwithstanding anything to the contrary contained herein, this clause (l) shall not apply to Synnex Canada or any Originator Collection Account prior to the Synnex Canada Effective Date.

• Within two (2) Business Days’ following receipt of any Collections in an Originator Collection Account, the Servicer shall cause such Collections to be remitted to a Blocked Account unless the Account Trigger Date has occurred and such Collections are permitted to be used for a Release in accordance with this Section 1.4.

Originator Collection Account means any of the accounts (and any related lock-box or post office box) so specified in Schedule II maintained at a Collection Account Bank in the name of an Originator.
