Other Offering definition

Other Offering means any offering of securities of ISG, any Affiliate of ISG or any other Person (other than pursuant to the Financing or the Public Offering), whether offered or sold in a registered public offering or in a private placement, the proceeds of which are used, directly or indirectly, to finance all or a portion of the transactions contemplated by this Agreement.
Other Offering has the meaning set forth in Section 17.f.
Other Offering has the meaning set forth in Section 4.15(g).

Examples of Other Offering in a sentence

  • Subscribers who participate in such Other Offering shall be entitled at their option to purchase, in proportion to each other, the amount of such Other Offering that could have been purchased by Subscribers who do not exercise their rights hereunder until up to the entire Other Offering is purchased by Subscribers.

More Definitions of Other Offering

Other Offering shall have the meaning ascribed to such term in Section 4.15. “Per Share Purchase Price” equals $1.00, subject to appropriate adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.
