Oversubscription Pro Rata Share definition

Oversubscription Pro Rata Share means, with respect to any Rights Offering Participant that has submitted an Oversubscription Offering Subscription, the ratio of (a) the maximum number of shares selected by such Rights Offering Participant in its Oversubscription Offering Subscription to (b) the total maximum number of shares selected by all Rights Offering Participants in all Oversubscription Offering Subscriptions.
Oversubscription Pro Rata Share has the meaning ascribed to such term in Section 4(b).
Oversubscription Pro Rata Share means a fraction, the numerator of which is the number of shares of Common Stock owned by such Fully Exercising Rights Holder immediately prior to the issuance of the New Securities and the denominator of which is the total number of shares of Common Stock owned by all of the Fully Exercising Rights Holders immediately prior to the issuance of the New Securities.

Oversubscription Pro Rata Share means, with respect to each Oversubscribing Investor and any Remaining Available New Securities, that portion of such Remaining Available New Securities that is equal to the product of such Remaining Available New Securities multiplied by a fraction, the numerator of which is equal to the Common Stock then held by such Oversubscribing Investor and the denominator of which is equal to the total Common Stock then held by all Oversubscribing Investors (assuming, for purposes of this fraction, full conversion into Common Stock of all shares of Preferred Stock then held by all of the Oversubscribing Investors). The closing of any sale pursuant to this Section 4.1(b) shall occur within the later of thirty (30) days of the date that the Offer Notice is given and the date of initial sale of New Securities pursuant to Section 4.1(c).
