Parallel Funds definition

Parallel Funds. As defined in Section 2.10(a).

Parallel Funds means any limited partnership or other Person having the same investment strategy as the Partnership organized by the General Partner (or at the General Partner’s direction) to meet certain regulatory or tax requirements or the specific organizational requirements of any Person who, but for such requirements, would be a Limited Partner of the Partnership, but only if the acquisition of interests in and organization of such Parallel Fund occurs on or prior to the Final Closing.

Parallel Funds shall have the meaning set forth in Section 7.8(d).

Examples of Parallel Funds in a sentence

• Fund Expenses may be paid out of any funds of the Partnership (or of any Feeder Funds, Parallel Funds and/or Intermediate Entities) in a manner reasonably determined by the General Partner.

• Investors should note that, as a result of the legal, tax, regulatory, compliance, structuring or other considerations mentioned above, the terms of such Parallel Funds may substantially differ from the terms of the Partnership.

• Each of the Partnership, Feeder Funds and Parallel Funds will be obligated to pay (without duplication) its proportional share of the Performance Participation Allocation based on its proportional interest in the Aggregator.

• The General Partner also may cause the Partnership (and/or any Feeder Funds, Parallel Funds and/or Intermediate Entities) to borrow funds to pay Fund Expenses pursuant to Section 4.1(b).

• The Partnership and the Parallel Funds will generally also dispose of each such Investment at the same time and on substantially the same terms, pro rata based on the capital invested by each in such investment (including by the Aggregator disposing of such investment), unless the General Partner determines in good faith that a different allocation or terms are reasonably necessary for legal, tax, regulatory, or certain other operational requirements.

More Definitions of Parallel Funds

Parallel Funds shall have the meaning set forth in Section 1.3.

Parallel Funds. Any limited partnerships or other entities which may be formed by the General Partner or one of its Affiliates or any successors thereto or assignees thereof, and which will co-invest with the Partnership as described in Section 6.8(b).
