Parent Shares means the shares of common stock, par value $0.01 per share, of Parent.
Series D Warrants means series D share purchase warrants of the Corporation issued to RTIH on May 22, 2012 in connection with the 2012 Rights Offering in accordance with the 2012 MoA, the terms of which are more particularly described under the heading “General Development of the Business – Agreements with the Rio Tinto Group – 2012 MoA”.
Parent Preferred Stock means the preferred stock, par value $0.01 per share, of Parent.
Company Warrant means a warrant to purchase shares of Company Capital Stock.
Company Convertible Securities means, collectively, any other options, warrants or rights to subscribe for or purchase any capital shares of the Company or securities convertible into or exchangeable for, or that otherwise confer on the holder any right to acquire any capital shares of the Company.
