Parent Voting Stock definition

Parent Voting Stock has the meaning given to that term in Section 11.1.(l)(i).
Parent Voting Stock means the Class A voting shares, without par value, of Parent to be created and issued in connection with the Parent Common Stock Reorganization and the Parent Common Stock Exchange.
Parent Voting Stock or “Shares” means any capital stock of the Parent that is then entitled to vote for the election of directors.

  • As used herein, "Trading Day" shall mean (i) if the Parent Voting Stock is listed or admitted for trading on the New York Stock Exchange or another national security exchange, a day on which the New York Stock exchange or that other national security exchange is open for business or (ii) if the Parent Voting Stock is quoted on the Nasdaq National Market, a day on which trades may be made thereon or (iii) if the applicable security is not so listed, admitted for trading or quoted, any Business Day.

  • Parent shall at all times reserve and keep available, free from preemptive rights, such number of its authorized but unissued shares of Parent Voting Stock as may be required to effect the exchange of shares of Parent Class A Special Common Stock pursuant to Article 12 of the Agreement.


More Definitions of Parent Voting Stock

Parent Voting Stock means the Parent Voting Common Stock and the Parent Preferred Stock.
Parent Voting Stock means sufficient shares of Parent (however designated) having ordinary voting power for the election of a majority of the members of its board of directors (not including shares having such power only in the event of a contingency).

Related to Parent Voting Stock

  • Non-Voting Shares means a particular Class of Shares that do not carry the right to notice of or to attend or vote at general meetings of the ICAV or the relevant Fund.

  • Special Voting Share means, in relation to the Corporation, the Carnival Special Voting Share and, in relation to P&O Princess, the P&O Princess Special Voting Share.

  • Non-Voting Common Stock means the Non-Voting Common Stock, par value $0.01 per share, of the Company.

  • Voting Share means (i) a Common Share of the Company and (ii) any other share of capital stock of the Company entitled to vote generally in the election of directors or entitled to vote together with the Common Shares in respect of any merger, consolidation, sale of all or substantially all of the Company's assets, liquidation, dissolution or winding up. References in this Agreement to a percentage or portion of the outstanding Voting Shares shall be deemed a reference to the percentage or portion of the total votes entitled to be cast by the holders of the outstanding Voting Shares.

  • Voting Common Stock means the Voting Common Stock, par value $.01 per share, of the Company.

  • Parent Preferred Stock means the preferred stock, par value $0.01 per share, of Parent.

  • Subordinate Voting Shares means subordinate voting shares in the capital of the Company.

  • Aggregate Voting Interests The aggregate of the Voting Interests of all the Certificates under this Agreement.

  • Voting Stock of any Person as of any date means the Capital Stock of such Person that is at the time entitled to vote in the election of the Board of Directors of such Person.

  • Class A Preferred Stock means the Class A Preferred Stock of the Company, par value $0.0001 per share.

  • New Preferred Stock means the Convertible Series A Preferred Stock and the Series B Preferred Stock.

  • Foreign Subsidiary Voting Stock the voting Capital Stock of any Foreign Subsidiary.

  • Senior Preferred Stock means the Series A Preferred Stock and the Series B Preferred Stock.

  • Qualifying Preferred Stock means non-cumulative perpetual preferred stock of the Corporation that (a) ranks pari passu with or junior to all other preferred stock of the Corporation, and (b) either (x) is subject to a Qualifying Replacement Capital Covenant or (y) is subject to Intent-Based Replacement Disclosure and has a provision that prohibits the Corporation from paying any dividends thereon upon its failure to satisfy one or more financial tests set forth therein, and (c) as to which the transaction documents provide for no remedies as a consequence of non-payment of dividends other than Permitted Remedies.

  • Preferred Stock Equivalents shall have the meaning set forth in Section 11(b) hereof.

  • Voting Equity Interests means Equity Interests in a corporation or other Person with voting power under ordinary circumstances entitling the holders thereof to elect the Board of Directors or other governing body of such corporation or Person.

  • Capital Stock means (i) in the case of a corporation, capital stock, (ii) in the case of an association or business entity, any and all shares, interests, participations, rights or other equivalents (however designated) of capital stock, (iii) in the case of a partnership, partnership interests (whether general or limited), (iv) in the case of a limited liability company, membership interests and (v) any other interest or participation that confers on a Person the right to receive a share of the profits and losses of, or distributions of assets of, the issuing Person.
