Partnership Unit Redemption Rights definition

Partnership Unit Redemption Rights means the rights that a Partnership Unit Holder has to require the Company to redeem from time to time part or all of the Partnership Unit Holder’s Partnership OP Units for the consideration set forth in the Operating Partnership Agreement.

Partnership Unit Redemption Rights with respect to all Partnership OP Units (assuming that all Partnership Preference Units held by the Partnership Unit Holder, to the extent such Partnership Preference Units were so convertible, had been converted into Partnership OP Units in accordance with the terms of such Partnership Preference Units, any term sheets related thereto and the Amended and Restated Agreement of Limited Partnership of the Operating Partnership, dated as of December 8, 2016, as amended and in effect as of the date of the Rights Agreement (the “Operating Partnership Agreement”) held by the Partnership Unit Holder immediately prior to the Distribution Date and (ii) the Company had elected to satisfy the Partnership Unit Redemption Rights by paying the Partnership Unit Holder the Shares Amount (defined as the “Shares Amount” as defined in the Operating Partnership Agreement) (rather than the Cash Amount (defined as the “Cash Amount” as defined in the Operating Partnership Agreement)) (such Shares Amount to be calculated without giving effect to any issuance, exercise or exchange of any Rights) immediately prior to the Distribution Date pursuant to the terms and conditions of the Operating Partnership Agreement.

Partnership Unit Redemption Rights means the rights that a Unitholder has to require the Macerich Partnership or MACWH Partnership, as applicable, to redeem from time to time part or all of such Unitholder’s Partnership Units for such consideration as set forth in the Macerich Partnership Agreement or the MACWH Partnership Agreement, as applicable.

  • Redemption Right has the meaning provided in Section 8.5(a) hereof.

  • Redemption Rights means the redemption rights provided for in Section 9.2 of the SPAC Certificate of Incorporation.

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Early Preference Share Redemption Event means the event that occurs if:

  • Early Preference Share Redemption Date means the day falling ten Business Days after the Early Preference Share Valuation Date.

  • Series A Units means Series A currency hedged mutual fund units or Series A non-currency hedged mutual fund units of a fund, as applicable.

  • Preferred Units means the Series A Preferred Units and the Series B Preferred Units.

  • Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Final Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency determined by the Calculation Agent equal to the Notional Amount multiplied by:

  • Preferred Unit means a fractional share of the Partnership Interests that the General Partner has authorized pursuant to Sections 4.01, 4.03 or 4.04 hereof that has distribution rights, or rights upon liquidation, winding up and dissolution, that are superior or prior to the OP Units.

  • Mandatory Redemption Price means $25,000 per share of AMPS plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends.

  • Series A Preferred Unit means a Preferred Unit having the designations, preferences, rights, powers and duties set forth in Article XVI.

  • Partnership Unit means a fractional, undivided share of the Partnership Interests of all Partners issued hereunder. The allocation of Partnership Units among the Partners shall be as set forth on Exhibit A, as may be amended from time to time.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Series C Preferred Units shall have the meaning provided in Section 1.

  • Series B Preferred Units shall have the meaning provided in Section 1.
