Pending Litigation Matters definition

Pending Litigation Matters means any Action involving the Companies or the Transferred Subsidiaries (other than a Legacy Proceeding or a Legacy Arbitration) Threatened, pending, or asserted prior to the Closing Date.
Pending Litigation Matters means actual or threatened litigation, investigations, claims or other legal matters that have been asserted as of the Distribution Date against Olin and/or Arch or the respective Subsidiaries of either of them.

This opinion is given as of the date hereof and is limited to the law of the State of New York as in effect on the date hereof.
