The relative fault shall be determined by reference to whether the untrue or alleged untrue statement of a material fact or omission or alleged omission to state a material fact relates to information supplied by the Penn Virginia Parties or the Underwriters, the intent of the parties and their relative knowledge, access to information and opportunity to correct or prevent such statement or omission.
This Agreement shall inure to the benefit of and be binding upon the Underwriters, the Penn Virginia Parties and their respective successors.
The Penn Virginia Agreement is hereby terminated and shall have no further force or effect.
The following new definitions are hereby inserted in Section 1.1 of the Credit Agreement in alphabetical order: “PVG shall mean Penn Virginia GP Holdings, L.P., a Delaware limited partnership.
