Per Common Equivalent Cash Consideration definition

Per Common Equivalent Cash Consideration means the quotient obtained by dividing (i) the Aggregate Cash Consideration, by (ii) the number of Fully Diluted Common Equivalents.
Per Common Equivalent Cash Consideration means an amount equal to (i) the sum of (A) the Aggregate Common Equivalent Cash Consideration plus (B) an amount equal to the aggregate exercise price per share of PSI Common Stock of each PSI Warrant outstanding immediately prior to the Closing, divided by (ii) the Fully Diluted Common Shares Number.

  • Aggregate Cash Consideration has the meaning set forth in Section 3.01(b)(ii).

  • Designated Non-Cash Consideration means the Fair Market Value of non-cash consideration received by the Issuer or one of its Restricted Subsidiaries in connection with an Asset Sale that is so designated as Designated Non-cash Consideration pursuant to an Officer’s Certificate, setting forth the basis of such valuation, less the amount of Cash Equivalents received in connection with a subsequent sale of or collection on such Designated Non-cash Consideration.

  • Cash Payment has the meaning set forth in Section 2.03(b)(iii) below.

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.
