Per Share Closing Cash Consideration definition

Per Share Closing Cash Consideration means an amount equal to (a) the quotient of (i) the Aggregate Cash Consideration, divided by (ii) the Fully Diluted Common Number, minus (b) fifty percent (50%) of the Per Share Escrow Amount.
Per Share Closing Cash Consideration means an amount equal to the quotient of the Closing Cash Consideration divided by the total number of shares of Company Common Stock outstanding immediately prior to the Effective Time.
