Performance Awards definition

Performance Awards means Performance Units, Performance Shares or either or both of them.

Performance Awards means an Award which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine and which may be cash- or stock-denominated and may be settled for cash, Shares or other securities or a combination of the foregoing under Section 10.

Performance Awards means Awards granted in accordance with Article VIII.

Examples of Performance Awards in a sentence

• Performance goals may differ for Performance Awards granted to any one Participant or to different Participants.

• Performance Periods may overlap and Participants may participate simultaneously with respect to Performance Awards that are subject to different Performance Periods and different performance goals and other criteria.

• Performance Awards may be granted in the form of either Performance Shares or Performance Units.

• The Committee shall specify the circumstances in which such Performance Awards shall be paid or forfeited in the event of termination of employment by the Participant prior to the end of a performance period or settlement of Performance Awards.

• Settlement of such Performance Awards shall be in cash, Stock, other Awards or other property, in the discretion of the Committee.

More Definitions of Performance Awards

Performance Awards means Performance Share Units, Performance Units, Performance-Based Restricted Stock or any or all of them.

Performance Awards means a Performance Share and Performance Unit, and any Award of Restricted Stock, Restricted Stock Units or Deferred Stock Rights the payment or vesting of which is contingent on the attainment of one or more Performance Goals.

Performance Awards means Awards granted under Section 8.

Performance Awards means an award of Common Stock or cash granted to an Eligible Recipient pursuant to Section 8 of the Plan and with respect to which shares of Common Stock or cash will be transferred to the Eligible Recipient in accordance with the provisions of such Section 8 and any agreement evidencing a Performance Award.
