Permitted Distribution in Kind definition

Permitted Distribution in Kind means a distribution by a Holder of all or substantially all the Ordinary Shares or Company Warrants (as applicable) held by such Holder or its Permitted Transferees to the holders of capital stock of such Holder.
Permitted Distribution in Kind means, at any time that the common equity securities of WBA (or a successor thereto) are traded on NASDAQ, any other national stock exchange or the equivalent in any other country (including the London Stock Exchange), a pro rata distribution of all or any portion of the Shares or Voting Securities held by WBA or its Permitted Transferees to all stockholders of WBA (or such successor thereto); provided that no Person or Group, to the knowledge of WBA (or such successor thereto), would acquire in such distribution (without taking into account any other holdings of such Person or Group) Beneficial Ownership equal to or in excess of ten percent (10%) or more of the Total Voting Power or the Total Economic Interest.
