Examples of Permitted RIC Distribution in a sentence
None of the Borrowers shall make, pay or declare any Permitted RIC Distribution during the continuance of an Event of Default under Section 10.1(a), (i), or (j) or, to the knowledge of any such Credit Party, a Material Potential Default.
The Borrower shall not make any Restricted Junior Payment, except that, so long as no Event of Default or Unmatured Event of Default has occurred (and has not been waived) or would result therefrom, the Borrower may declare and make distributions to the holders of its membership interests in accordance with Section 2.04 (including towards a Permitted RIC Distribution) or from proceeds of an Advance.
The provisions of this Section 13.1 shall not be construed to prohibit any Permitted RIC Distribution if the conditions set forth in the definition thereof for making such a distribution are satisfied.
As to any Payment Date, Redemption Date or Permitted RIC Distribution Date, with respect to (i) the Notes and the Preferred Shares, the date 15 days prior to such applicable date and (ii) the Class A-1 Loans, the last day of the month immediately preceding such applicable date (whether or not such date is a Business Day).
Any date designated under this Indenture for the payment of a Permitted RIC Distribution.
