Permitted Pledge Transfer definition

Permitted Pledge Transfer means (i) any pledge, mortgage or hypothecation of Units by the TPG Member, the Intel Member or the TB Member in connection with a Permitted Loan and (ii) any Transfer by the TPG Member, the Intel Member or the TB Member to the extent that all of the net proceeds of such sale are solely used to satisfy a bona fide margin call (i.e., posted as collateral) pursuant to a Permitted Loan, or repay a Permitted Loan to the extent necessary to satisfy a bona fide margin call on such Permitted Loan or avoid a bona fide margin call on such Permitted Loan, or in connection with a foreclosure or event of default under a Permitted Loan.
Permitted Pledge Transfer means, subject to Section 4.1(c), any Transfer made in connection with a secured party’s exercise of remedies under a Permitted Pledge or any Transfer made after commencement of a bankruptcy or insolvency proceeding respecting the Party bound by the Permitted Pledge and approved by the court or tribunal having jurisdiction over such proceeding.

  • Following the Catch-Up Period, Transfers by Carrizo shall be subject to Sections 4.2(a) and 4.3(a), except for Transfers to any wholly owned Subsidiary of COGI or in the case of a Permitted Pledge Transfer.

  • Permitted Securitization Financing means one or more transactions pursuant to which (i) Securitization Assets or interests therein are sold or transferred to or financed by one or more Special Purpose Securitization Subsidiaries, and (ii) such Special Purpose Securitization Subsidiaries finance (or refinance) their acquisition of such Securitization Assets or interests therein, or the financing thereof, by selling or borrowing against Securitization Assets (including conduit and warehouse financings) and any Hedging Agreements entered into in connection with such Securitization Assets; provided, that recourse to the Borrower or any Subsidiary (other than the Special Purpose Securitization Subsidiaries) in connection with such transactions shall be limited to the extent customary (as determined by the Borrower in good faith) for similar transactions in the applicable jurisdictions (including, to the extent applicable, in a manner consistent with the delivery of a “true sale”/“absolute transfer” opinion with respect to any transfer by the Borrower or any Subsidiary (other than a Special Purpose Securitization Subsidiary).

  • Pledge shall have the meaning assigned to such term in Section 14(c).

  • Wholly Owned Domestic Subsidiary means, as to any Person, any Wholly-Owned Subsidiary of such Person which is a Domestic Subsidiary of such person.

  • Parent Pledge Agreement means that certain Pledge Agreement, dated of the date hereof, made by Parent in favor of Agent.
