Permitted Senior Subordinated Debt definition

Permitted Senior Subordinated Debt means high-yield subordinated debt issued after the Founding Company Acquisition Date, if any, in an aggregate principal amount of at least $100,000,000, but in no event exceeding $175,000,000, and on such other terms and conditions as may be reasonably acceptable to the Agent and the Required Lenders.
Permitted Senior Subordinated Debt means (a) the Senior Subordinated Loans and (b) the Senior Subordinated Notes to the extent that the Net Cash Proceeds therefrom are applied to prepay the principal of, and accrued interest on, the Senior Subordinated Loans or refinance or replace other Senior Subordinated Notes; provided that the aggregate principal amount of such Senior Subordinated Loans and Senior Subordinated Notes outstanding at any time shall not exceed the sum of $350,000,000 and a419,076,355.71 plus any redemption or prepayment premiums payable in respect of the Senior Subordinated Loans.
Permitted Senior Subordinated Debt means the Senior Subordinated Notes; provided, that the aggregate principal amount of Senior Subordinated Notes outstanding at any time shall not exceed the sum of $200,000,000 and €250,108,000 plus any redemption or prepayment premiums payable in respect of the Senior Subordinated Notes.

  • None of Holdings or any Borrower shall designate, or permit the designation of, any Indebtedness (other than under this Agreement or the other Loan Documents) as “Designated Senior Indebtedness” or any other similar term for the purpose of the definition of the same or the subordination provisions contained in the Senior Subordinated Note Indenture or any indenture governing any Permitted Senior Subordinated Debt Securities.

  • The Obligations constitute senior indebtedness which is entitled to the benefits of the subordination provisions of all outstanding Permitted Senior Subordinated Debt.

Permitted Senior Subordinated Debt means unsecured, senior subordinated Indebtedness of the Borrower; provided that no such Indebtedness shall be (a) guaranteed by any Person other than a Guarantor, (b) subject to scheduled amortization or have a final maturity, in either case, prior to the date occurring 180 days following the Second Lien Maturity Date (it being understood that such Indebtedness may have mandatory prepayment, repurchase or redemption provisions satisfying the requirement of clause (c) hereof), (c) such Indebtedness has covenants, events of default and remedies taken as a whole no less favorable to the Borrower than the terms of the senior subordinated debt securities of comparable issuers issued in the capital markets at such time but, to the extent such Permitted Senior Subordinated Debt refinances the Second Lien Loans, in no event more restrictive than the terms under the Second Lien Loan Documents and (d) such Indebtedness (and any guarantees thereof) are subordinated to the Obligations (and any refinancing thereof) on terms no less favorable to the Lenders than subordination terms customary for senior subordinated debt securities of comparable issuers issued in the capital markets or on terms reasonably acceptable to the Administrative Agent.
Permitted Senior Subordinated Debt means the Borrower's 11 5/8% Senior Subordinated Notes due 2008 issued under an indenture dated May 19, 1999 in the original principal amount of $125,000,000 and with $94,995,000 outstanding as of March 31, 2001.

  • Senior Subordinated Debt means the Indebtedness represented by the Senior Subordinated Notes (including the Note Guarantees, Exchange Notes (each as defined in the Senior Subordinated Debt Documents), guarantees of Exchange Notes and any replacement Exchange Notes).

  • Junior Subordinated Debt means (a) subordinated junior deferrable interest debentures of the Borrower, (b) the related preferred securities, if applicable, of Subsidiaries of the Borrower and (c) the related subordinated guarantees, if applicable, of the Borrower, in each case, from time to time outstanding.

  • Senior Subordinated Indebtedness means the Securities and any other Indebtedness of the Company that specifically provides that such Indebtedness is to rank pari passu with the Securities in right of payment and is not subordinated by its terms in right of payment to any Indebtedness or other obligation of the Company which is not Senior Indebtedness.

  • Senior Subordinated Indenture means the Indenture, dated as of August 30, 2007, among the Company, the subsidiary guarantors party thereto from time to time and Xxxxx Fargo Bank, National Association, as trustee, governing the 13.5% Senior Subordinated Notes due 2015 of the Company, as the same may be amended, supplemented, waived or otherwise modified from time to time.

Additional Senior Debt shall include any Registered Equivalent Notes and Guarantees thereof by the Guarantors issued in exchange therefor.

  • Existing Subordinated Notes means any instrument or loan issued or incurred before 1 January 2013, whether publicly or privately placed, ranking or expressed to be ranking pari passu with all other subordinated obligations (except for those subordinated obligations expressed by their terms to rank junior), provided that should any such Existing Subordinated Notes be amended in any way (contractually or by statute) which would result in allowing the Issuer to issue subordinated notes ranking senior thereto, then such Subordinated Notes would be deemed to no longer constitute an Existing Subordinated Note.
