Phase I Lease Commencement Date definition

Phase I Lease Commencement Date that is the later to occur of (i) six (6) months after the date on which Landlord has delivered possession of the Phase I Premises to Tenant in the “Delivery Condition”, as that term is defined in Section 1 of Exhibit B attached hereto and (ii) October 1, 2018, provided, however, that (a) in the event that the Delivery Condition for the Phase I Premises is not achieved by October 1, 2018, the six (6) month period referenced in clause (i) above shall be extended by one (1) day for each day after such date until the date that the Delivery Condition is achieved, and (b) in no event shall the Phase I Lease Commencement Date occur until Landlord has caused the “Final Condition” of the Phase I Premises to occur, as that term is defined in Section 1 of Exhibit B attached hereto.
Phase I Lease Commencement Date shall be December 1, 2019. The "Phase II Lease Commencement Date" shall be the date that occurs one hundred twenty (120) days following the Phase II Delivery Date (as that term is defined in Section 1 of the Work Letter). The Phase II Delivery Date shall not occur prior to May 1, 2020 without Tenant's prior written consent.
Phase I Lease Commencement Date shall be the earlier of seven (7) months following the Phase I Possession Date, or upon Xxxxxx’s occupancy of the Phase I Premises for the conduct of its business.

Failure to execute and deliver such acknowledgment, however, shall not affect the Term Commencement Date or Landlord’s or Tenant’s liability hereunder. Failure by Tenant to obtain validation by any medical review board or other similar governmental licensing of the Premises required for the Permitted Use by Tenant shall not serve to extend the Term Commencement Date.
