The City and Miramar Energy LLC (the "Company"), a Delaware limited liability company, have entered into that certain Phase III Cogeneration Facility Site Lease Agreement, dated as of July 1, 2010 (the "Phase III Site Lease"), whereby the Company has agreed to finance, design, construct, own, operate and maintain cogeneration facilities and lease certain property, all as more particularly described therein.
The Phase III Cogeneration Facility Contractor is required to obtain the insurance set forth herein with insurance companies authorized to do business in the State of California and having agents upon whom service of process may be made in California.

The Phase III Cogeneration Facility Contractor acknowledges that the Cogenerator has leased the Phase III Cogeneration Facility Site since October 19, 1995, and that an absorption chiller, boiler and cooling towers must be removed from the Phase III Easements Areas before the Phase III Cogeneration Facility Contractor can commence construction.
The generating capacity of the Phase III Cogeneration Facility shall not exceed 3200 ▇▇ ▇▇▇▇▇ generating capacity without the prior written consent of the City, which consent may be withheld at the sole discretion of the City.
In designing, developing, constructing, owning, and operating the Phase III Cogeneration Facility, the Phase III Cogeneration Facility Contractor shall provide designs and submittals to the City for review and approval, not to be unreasonably withheld, conditioned or delayed, as described in the Phase III Cogeneration Facility Scope of Work.
The Phase III Cogeneration Facility Contractor shall provide the City and the Cogenerator with an exact “as built” description, including azimuths, distances and elevations of all underground utilities constructed by the Phase III Cogeneration Facility Contractor for its Utility rights of way.
The P3CF Contractor shall be solely responsible for the performance, operation, and timely completion of the P3CF except as described in the Project Agreements, the Phase III Cogeneration Facility Easement Agreement and this SOW.
