Physical Data Room definition

Physical Data Room has the meaning ascribed to it in paragraph 2 of the General Disclosures Section of the Disclosure Letter;
Physical Data Room means the physical data room managed by the Vendor and its advisers as at midday (UK time) on 20 March 2015, the index to which is set out in Part B of Schedule 14 and a copy of which is delivered to the Purchaser’s Solicitors on or immediately following the date hereof;

  • Virtual Data Room means the virtual data room established by the Company, access to which was given to SPAC in connection with its due diligence investigation of the Company relating to the Transactions.

There have been no breaches, violations, outages or unauthorized uses of or accesses to same, except for those that have been remedied without material cost or liability or the duty to notify any other person, nor any incidents under internal review or investigations relating to the same. The Company and its subsidiaries are presently in material compliance with all applicable laws or statutes and all judgments, orders, rules and regulations of any court or arbitrator or governmental or regulatory authority, internal policies and contractual obligations relating to the privacy and security of IT Systems, Confidential Data, and Personal Data and to the protection of such IT Systems, Confidential Data, and Personal Data from unauthorized use, access, misappropriation or modification.

  • Client Records has the meaning set forth in Section 3.14.

  • Buyer Data means all data, records, files, information or content, including text, sound, video, images and software, that is (a) input or uploaded by Buyer or its Users to or collected, received, transmitted, processed, or stored by Buyer or its Users using the Software or SaaS Service in connection with this Agreement, or (b) derived from (a). Buyer Data is Confidential Information of Buyer.
