Pool Certificate definition

Pool Certificate means a certificate from the principal executive officer or the principal financial officer of the Borrower in the form of, and containing the certifications set forth in, the certificate attached hereto as Exhibit 5.1(c)(2).
Pool Certificate means a report, certified by the chief financial officer or treasurer of the Borrower, substantially in the form of Exhibit B, setting forth the calculations required to establish the Pool Values of each Pool Asset as of a specified date and certifying that each Pool Asset remains an Eligible Pool Asset, all in form and detail satisfactory to the Administrative Agent.
Pool Certificate. With respect to Pool I, the Pool I Certificates; with respect to Pool II, the Pool II Certificates; with respect to Pool III, the Pool III Certificates; and with respect to Pool IV, the Pool IV Certificates.

  • Transferor Certificate As defined in Section 5.02(b).

  • Note Certificate means a certificate issued to each Registered Holder in respect of its registered holding of Notes;

  • Class A-SB Certificate Any one of the Certificates with a “Class A-SB” designation on the face thereof, substantially in the form of Exhibit A-1 attached hereto, and evidencing a portion of a class of “regular interests” in REMIC III for purposes of the REMIC Provisions.

  • Residual Certificate The Class R Certificate.

  • Class A-R Certificate The Certificate executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-R and Exhibit C hereto.

  • Private Certificate As specified in the Preliminary Statement.

  • Investor Certificate means any one of the certificates (including, without limitation, the Bearer Certificates, the Registered Certificates or the Global Certificates) executed by the Transferor and authenticated by the Trustee substantially in the form (or forms in the case of a Series with multiple classes) of the investor certificate attached to the related Supplement.
