Power Grids is acting only as an independent contractor in furnishing Services to Client under this Agreement.
All Work Product, and all patent, trademark, copyright, trade secret, and other intellectual property rights related thereto, is the property of Power Grids on creation and is licensed nonexclusively to Client, at no additional license fee, pursuant to the applicable order for consulting services and subject to the terms of this Agreement.
Client shall pay to Power Grids the fees set forth in each Power Grids order for consulting services.
This Agreement, together with the applicable Power Grids order for consulting services shall be the complete agreement and understanding between the parties.
To the extent Client acquires any rights in any Work Product, Client hereby assigns all such rights to Power Grids.
Power Grids will invoice Client on the effective date of the Power Grids order for consulting services for all fees payable thereunder, which shall be due within thirty (30) days of the date set forth on each invoice.
Client shall also pay and/or reimburse Power Grids for (a) all taxes based upon the fees in this Agreement; and (b) all reasonable Services-related travel and travel-related expenses.
Supplier must also comply with the reporting and other requirements regarding Con- flict Minerals made available under www.hitachiabb-power- ▇▇▇▇▇.▇▇▇/▇▇▇▇▇▇▇▇▇ – Supplying – Material Compliance – Hitachi ABB Power Grids Policy and Supplier Requirements or otherwise and shall provide Customer (and any relevant Customer Affiliate) with documents, certificates and statements as requested.
Sup- plier shall comply with, and ensure that the Permitted Additional Re- cipients comply with, any security procedure, policy or standard pro- vided to Supplier by Customer or any of its Affiliates from time to time, and in particular with the Hitachi ABB Power Grids Cyber Security Requirements for Suppliers as made available under www.hitachiabb- ▇▇▇▇▇▇▇▇▇▇.▇▇▇/▇▇▇▇▇▇▇▇▇, or as otherwise set out in the Contract.
The sub-processor is responsible for the conduct and performance of each approved sub-sub-processor, and Power Grids remains Customer’s sole point of contact regarding any portion of the Processing Services performed by sub-sub-processors.
