This Contract (including Schedule 1), all applicable rate schedules and price schedules, and any applicable Precedent Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof.
Transporter and Shipper shall enter into such additional agreements as may be necessary in furtherance of this Precedent Agreement.
Notwithstanding anything contained in this Precedent Agreement, neither Transporter nor Shipper shall be liable for consequential losses that relate to or arise out of this Precedent Agreement or its termination regardless of whether such losses arise pursuant to contract, tort, strict liability or other fault of either Transporter or Shipper.
No amendments may be made to this Precedent Agreement except by an amendment in writing signed by both parties.
Shipper may assign this Precedent Agreement to any party that satisfies Transporter’s creditworthiness requirements, but then only upon Transporter’s prior written consent, which consent shall not be unreasonably withheld.
