Preemptive Rights is defined in Section 4.8(b).
Preemptive Right has the meaning set forth in Section 5.1 hereof.
Rights Offering Participants means those Persons who duly subscribe for Rights Offering Shares in accordance with the Rights Offering Procedures.
Phantom means a volume of material behaving in a manner similar to tissue with respect to the attenuation and scattering of radiation. This requires that both the atomic number (Z) and the density of the material be similar to that of tissue.
Participating Shares means shares that entitle their holders to participate without limitation in distributions.
Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.
Stock Purchase Rights means any warrants, options or other rights to subscribe for, purchase or otherwise acquire any shares of Common Stock or any Convertible Securities.
Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.
CDS Participants means a broker, dealer, bank or other financial institution or other person for whom CDS effects book-entry transfers and pledges of Deposit Notes under the Book-Entry System.
right holder means a person or a legal entity that was previously granted or lawfully acquired a fishing right or which will be granted a right in the allocation process envisaged in this Policy.
Section 16 Participants means Participants who are subject to the provisions of Section 16 of the Exchange Act.
Stock Purchase Right means a right to purchase Common Stock pursuant to Section 11 below.
Purchase Rights shall have the meaning set forth in Section 5(c).
Participating Share or “Share” means the Participating Shares of no par value in the
Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.
Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.
Step-In Rights means the right of one party to assume an intervening position to satisfy all terms of an agreement in the event the other party fails to perform its obligations under the agreement.
Book Entry Participants or “Participants” means institutions that participate directly or indirectly in the Depository’s book entry registration system for the Warrants;
Rights Holders Special Meeting" means a meeting of the holder of Rights called by the Board of Directors for the purpose of approving a supplement or amendment to this Agreement pursuant to Subsection 5.4(c);
Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.
L/C Participants the collective reference to all the Revolving Lenders other than the Issuing Lender.
Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.
Rights Holder means the holder of the Call Rights.
Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.
Call Rights As defined in Section 9.01(f).
Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Article 7.
