Preferred Stock Default definition

Preferred Stock Default means the failure of the Depositor to comply in any material respect with any of its obligations (i) under the Stock Purchase Contract Agreement or (ii) as issuer of the Preferred Stock, the Depositor’s certificate of incorporation, including in the Certificate of Designation, or arising under applicable law.
